Job Description

Assisting all the pre and post meeting formalities for Board, Committees and General meetings including compliances related to a foreign subsidiary based at UAE
This includes preparing agenda, drafting minutes, circular resolutions etc
Maintaining and amending Signatory lists from time to time
Managing all the E-filings under SEBI, MCA and Exchanges compliances
Updating Statutory Registers applicable under the Companies Act
Prepare and File APR and FLA under FEMA with RBI related to foreign subsidiary
Submission of Annual Returns and Net-worth as per circulars from Exchanges and Depositories
Including adhoc compliance of Change in Designated Director, Compliance Officer, Registered Office, etc
as and when required
Submission of data to statutory auditors, internal, secretarial auditors during the audit process and also sharing of data to internal stakeholders
Tracking of various Circulars issued by SEBI MCA and preparation of gist and Comply accordingly and advising management thereon
Assisting in drafting of various policies and monitoring compliance with applicable policies
Any other activities connected with the Secretarial and Compliance activities as may be delegated from time to time
Membership of the Institute of Company Secretaries of India (ICSI)
