Role Description This is a full-time on-site role for a Company Secretary in Delhi, India. The Company Secretary will ensure compliance with statutory and regulatory requirements, maintain company records, prepare and file annual returns and other documents, organize board meetings, and draft minutes. The individual will also handle correspondence, liaise with external regulators and advisers, and provide support to the board of directors. Key Responsibilities Organize and prepare agendas for board meetings and annual general meetings, ensuring effective documentation and minute-taking. Maintain statutory records, including registers of members, directors, and secretaries, in compliance with the Companies Act, 2013 and other relevant legislation. Draft and file annual returns and other required documents to ensure statutory filings are up to date. Monitor changes in corporate laws, regulations, and governance standards, ensuring that the company remains compliant. Advise and liaise with external regulators (e.g., auditors, lawyers) and relevant stakeholders to ensure the company's governance practices are in line with statutory requirements. Provide guidance to the board on the legal, governance, and compliance implications of proposed policies. Oversee compliance processes such as alteration of MOA and AOA, increase in authorized capital, and issue of dividends. Ensure compliance with accounting standards and the provisions of the Companies Act. Qualifications & Experience Master's or Bachelor's degree in Law, Finance, Business Administration, or a related field. Professional certification as a Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) is essential. Proven experience in a Company Secretary role, with a strong understanding of statutory compliance, corporate governance, and regulatory requirements. Excellent organizational skills to coordinate board meetings, manage correspondence, and ensure timely filing of documents. Strong written and verbal communication skills with the ability to communicate effectively with internal and external stakeholders.
