Senior Legal Counsel & Company Secretary

As a Company Secretary and Legal Counsel, your role will involve a diverse range of responsibilities split between Company Secretarial duties and Corporate & Commercial legal support. **Role Overview:** In the Company Secretarial aspect (10% of scope), you will be responsible for providing support at various meetings such as Board Meetings, Annual General Meeting, Extraordinary General Meeting, and Corporate Social Responsibility (CSR) meetings. Additionally, you will be tasked with the maintenance of statutory registers and filing necessary forms with the Registrar of Companies. On the Corporate & Commercial front (90% of scope), your duties will include providing practical legal advice on commercial matters, drafting and negotiating a variety of commercial contracts, updating legal processes, supporting dispute resolution processes, and delivering training on legal and contractual issues to the business. **Key Responsibilities:** - Support at Board Meetings, AGM, EGM, and CSR meetings - Maintenance of statutory registers - Filing necessary forms with Registrar of Companies - Provide commercial and practical legal advice - Draft, review, and negotiate commercial contracts - Update and create precedent agreements and legal processes - Support dispute resolution processes - Provide training on legal and contractual issues **Qualifications Required:** - Company Secretary (ICSI) - LLB (preferably from accredited universities) - LLM (preferable but not mandatory) - At least 10+ years of relevant post-qualification experience - Solid law firm or in-house experience - High level of integrity and management skills - Experience in strategic and complex commercial transactions - Excellent communication and relationship building skills - Ability to work collaboratively and autonomously - Ability to work well under pressure and navigate complex issues If this challenging opportunity aligns with your career aspirations and expertise, we invite you to apply through our guided application process.,
