We are seeking a highly accomplished and strategic Company Secretary to join our leadership team. The role demands a seasoned professional with deep expertise in corporate governance, statutory compliance, regulatory affairs, and strategic advisory to the Board of Directors. The ideal candidate will come with strong experience in large manufacturing organizations with diverse business lines, driving excellence in governance and contributing to business growth.
Key Responsibilities
- Act as the principal advisor to the Board of Directors on corporate governance and compliance matters.
- Ensure timely and accurate compliance with Companies Act, SEBI Regulations, FEMA, and all other applicable corporate laws.
- Manage statutory filings, secretarial records, and regulatory submissions with ROC, MCA, RBI, and other authorities.
- Draft, review, and finalise Board agendas, resolutions, minutes, and shareholder communications.
- Provide strategic inputs on mergers & acquisitions, joint ventures, and international business expansion initiatives.
- Liaise with external stakeholders including auditors, regulators, legal advisors, and government officials.
- Support top management in policy formulation, corporate structuring, risk management, and business negotiations.
- Ensure statutory compliance for subsidiaries and group companies across multiple business verticals.
- Oversee corporate governance practices to maintain transparency, accountability, and ethical business operations.
- Lead a team of professionals managing compliance workflows across business units and geographies.
Key Requirements
- Qualified Company Secretary (CS) with membership of ICSI.
- 12-15 years of progressive experience handling secretarial, compliance, and governance functions in large manufacturing or diversified business groups.
- Strong exposure to multi-business operations, M&A, and cross-border regulatory frameworks.
- Excellent knowledge of Companies Act, SEBI, FEMA, Labour laws, and allied legislations.
- Proven ability to work with Board/CXOs and provide pragmatic governance support to business strategy.
- Exceptional communication, leadership, and stakeholder management skills.
High integrity, analytical skills, and ability to handle complex legal/regulatory challenges with business acumen.
