Job Description

Role & responsibilities

  • Corporate governance and compliance:

    • Advising the board on legal, financial, and strategic matters.
    • Ensuring compliance with articles of association and other statutory and regulatory requirements.
    • Implementing systems and processes to ensure good management and compliance.
  • Board and meeting administration:

    • Organizing board and shareholder meetings, including preparing agendas and distributing materials.
    • Accurately recording meeting minutes and tracking action points.
    • Ensuring appropriate notice is given for all meetings.
  • Record keeping and filings:

    • Maintaining statutory books, such as registers of members, directors, and secretaries.
    • Filing required documents with the appropriate government bodies, like annual returns and accounts.
    • Ensuring the security of company legal documents.
  • Shareholder and stakeholder relations:

    • Acting as a point of contact between the company, its board, and shareholders.
    • Managing shareholder communications and relations, including arranging annual general meetings (AGMs).
    • Handling share option schemes and paying dividends.
