General Position Summary

The incumbent will handle all legal and contracts-related matters for Sterling Green Power Solutions Private Limited (SGPS). The role involves ensuring clear, economical, and efficient contractual arrangements with clients, subcontractors, dealers, distributors, and suppliers, safeguarding SGPS interests. The candidate must have excellent communication, interpersonal skills, and strong independent negotiation capability with internal and external stakeholders.

Key Responsibilities

• Drafting and review of MSAs, MOUs, Distribution Agreements, Dealership Agreements, Technology Purchase Agreements, NDAs, and Partnership/Teaming Agreements for domestic and international markets.
• Support SCM team in drafting, reviewing, and negotiating purchase order (PO) terms and conditions.
• Draft contractual correspondences with clients and vendors.
• Identify and highlight contractual/legal risks during project discussions.
• Provide legal support to all divisions during tendering, drafting, evaluation, negotiation, and execution stages of contracts in coordination with Group Legal.
• Independently negotiate contracts with domestic and international entities.
• Ensure strong understanding of international contracts and industry best practices.
• Prepare and draft varied agreements, MoUs, term sheets, and contract documents.
• Undertake additional contract or commercial tasks as directed by management.
• Coordinate with internal stakeholders for legal, contract, and financial support when required.

Desired Skills

• Degree in Law (LLB); additional qualification in commercial/financial management preferred.
• 812 years of relevant experience in complex contracts.
• Strong fundamentals in Contract Law, Arbitration Law, and statutory requirements.
• Technical knowledge of Term Sheets, EPC Contracts (FIDIC-based or international formats), Service & Supply Contracts.
• Excellent negotiation skills and drafting ability.
• Strong communication skills (English fluency).
• Proficiency in MS Word, Excel, PowerPoint & project/supply chain tools.
