Job Overview
We are looking for an experienced Legal Manager with more than 8 years of legal experience, with expertise in Indian corporate, capital markets, and intellectual property law. The ideal candidate will have a deep understanding of regulatory frameworks, including SEBI, RBI, FDI, and real estate laws. This role will involve managing litigation cases, drafting and vetting agreements, ensuring legal compliance, and liaising with government authorities. Prior experience working with Indian legal systems is essential.
Key Responsibilities
- Litigation Management (India-specific):
- Handle civil and commercial litigation cases in various courts and tribunals across India.
- Draft legal notices, petitions, and affidavits, and represent the company in court proceedings.
- Collaborate with external legal counsels for litigation matters and manage all court procedures.
- Drafting and Vetting Agreements:
- Draft, review, and vet a wide range of legal agreements, including Corporate Agreements, Vendor Contracts, Investment Contracts, and Employment Contracts.
- Ensure agreements adhere to Indian corporate and commercial laws.
- Provide legal counsel during negotiations to protect the company’s legal interests.
- Intellectual Property Matters:
- Handle intellectual property-related legal matters, including trademark and patent registrations in India.
- Advise on disputes related to intellectual property and ensure compliance with Indian IP regulations.
- Capital Markets Compliance:
- Ensure compliance with SEBI regulations, including matters related to capital markets, securities laws, and FDI policies.
- Provide legal advice on RBI guidelines and cross-border transactions involving FDI.
- Real Estate & Property Law (India-specific):
- Draft and review real estate agreements, including sale deeds, lease agreements, and title documents.
- Handle disputes related to property matters and ensure compliance with Indian real estate regulations.
- Consumer Protection Laws:
- Handle consumer protection cases under MRTP, PFA, and other relevant Indian consumer protection laws.
- Advise on consumer rights and handle disputes related to product and service liabilities.
- Onshore and Offshore Transaction Structuring:
- Provide legal counsel on the structuring of onshore and offshore transactions, ensuring compliance with Indian and international regulations.
- Advise on the legal aspects of cross-border investments and transactions.
- Compliance and Regulatory Oversight:
- Implement compliance programs to ensure adherence to Indian laws, including SEBI, RBI, and Companies Act regulations.
- Monitor changes in legal regulations in India and keep the company updated on compliance requirements.
- Liaison with Authorities:
- Work closely with regulatory bodies such as SEBI, RBI, FDI, and other government agencies at both the national and state levels.
- Coordinate with external legal advisors, tax professionals, and regulatory authorities to ensure smooth handling of legal matters.
About Ideal Candidate
- Legal Expertise: Extensive knowledge of Indian corporate, civil, and commercial law, including regulatory frameworks from SEBI and RBI.
- Intellectual Property Compliance: Experience handling intellectual property matters under Indian laws, including trademarks and patents.
- Capital Markets & SEBI Knowledge: Familiarity with SEBI regulations and capital markets in India, particularly regarding FDI.
- Real Estate & Consumer Protection Laws: Strong understanding of Indian real estate laws and consumer protection regulations.
- Communication Skills: Proficient in Hindi and English, with the ability to engage with Indian regulatory bodies and external legal counsels.
- Qualifications: Bachelor’s degree in Law (LLB); Master’s degree in Law (LLM) is preferred.
- Experience: Minimum of 8+ years of legal experience in Indian law, specializing in corporate, civil, and intellectual property law.
