Full Time
1. Contract Management-
(a) Negotiating agreements and advising management about the legal risks associated with the transactions;
(b) Drafting, vetting, Continuous review of various agreements like service, sales, IT, HR, consultant, shareholder agreements, notices, applications etc.;
(c) Support cross-border transactions and oversee international contracts ensuring compliance with local and global legal frameworks.
(d) Develop contract templates and playbooks to standardize and streamline contracting processes.
(e) Decrease the turnaround time of a Contract cycle effectively.
2. IP Management-
(a) Oversee registration, prosecution, and enforcement of trademarks, copyrights, designs, and patents globally.
(b) Liaising with internal teams and external counsel to file applications
(c) Oversee maintenance of the IP trackers and oversee creation of the IP Policies and Processes.
(d) Oversee drafting or vetting of agreements and documents pertaining to IPR.
3. Compliance and Policy Management-
(a) Develop and implement legal policies, SOPs, and compliance manuals for business operations and factory processes.
(b) Ensure statutory and regulatory compliance across labour, environmental, commercial, and industrial laws.
(c) Conduct training sessions and workshops for employees on compliance and legal risk awareness.
(d) Ensuring effective compliance with corporate governance principles.
4.Corporate legal advisory- (a)Provide legal advice and support to senior management on a wide range of legal issues.
(b) Provide strategic input on company policies, joint ventures, partnerships, M&A, and overseas entity structuring.
(c) Stay updated on changes in relevant laws and regulations and assess their impact on the company's operations.
(d ) Identify potential legal risks and develop strategies to mitigate them.
(e)Conduct legal research and provide legal opinions on complex legal issues.
5. Factory & Manufacturing Unit Legal Support -
(a) Ensure compliance with labour laws, factory laws, environmental regulations, industrial safety standards, and local municipal requirements applicable to the factory.
(b) Draft and review vendor contracts, procurement agreements, and service provider arrangements linked to the plants.
(c) Handle land-related matters, licensing, statutory inspections and legal metrology matters.
(d) Support HR and Industrial Relations teams in disciplinary proceedings, employee disputes, union negotiations, and labour court litigations.
(e) Manage local litigation relating to labour, regulatory, tax, excise, GST, and factory-related issues.
(f) Liaise with government authorities, regulators, and local bodies to ensure smooth factory operations.
5. Litigations-
(a) Manage and monitor litigations, arbitrations, and dispute resolution matters across India and overseas.
(b) Coordination with external law firms and counsels for strategy, representation, and case updates.
(c) Provide litigation risk assessments to business stakeholders.
(d) Oversee the litigation trackers.
6. Collaborate with other departments, such as Human Resources, Finance etc, to address legal issues that arise in the course of business operations.
7. Team Management & Delegation
(a) Lead, mentor, and supervise team members within the legal department.
(b) Allocate work, review outputs, and build capability within the team.
(c) Foster a culture of accountability, collaboration, and continuous learning.
(d) Ensure efficient use of external resources, manage costs, and drive timely deliverables.
8. Weekly and/or Monthly reporting/MIS to Manager- Provide regular reports and dashboards to the GC and Director-Legal on legal matters, risks, and progress.
9. Any other work assigned by the Manager or the Management.
Need candidate who is having deep experience in IPO, Acquisitions & legal Agreements.
12+ years of experience as a practicing lawyer in the field of
corporate law or as an in-house counsel.
