Job Description

Role & responsibilities

Provide legal advice and counsel to the Board of Directors, Officers, employees of the

organization, and external counsel.

  • Advise the senior management on all legal matters affecting the organizations operations and

governance, including legal review and advice on risks and implications of new projects, and with

business arrangements to support strategic and operational decision-making.

  • Structure, draft and negotiate various transactional, contract professional services agreements.
  • Oversight of Companys contract administration processes to ensure compliance with applicable

laws and other internal Company policies.

  • Oversight of corporate secretarial matters for company AND in all risk management matters.
  • Demonstrate and communicate thought leadership internal to and external as an ambassador

and spokesperson for the company on all relevant legal matters.

  • Provide professional and credible legal advice and effective legal support on topics as required

(verbal and written opinions) by management from time to time. This would include analysis and

counsel on a range of issues such as corporate governance, regulatory, business structures and

models, employment issues, insurance, etc.

  • Represent the Company and/or senior executives and managers in legal proceedings and/or

supervise such representation

  • Engage outside counsel on complex legal issues, and supervise and coordinate all work sent to

external law firms

  • Conduct compliance monitoring and ensuring that the compliance framework within the

business is comprehensive, robust and implemented

  • Partner with Compliance function to identify areas of the business where there is a risk of non-

compliance and develop/maintain plans and policies to reduce the risk.

  • Analyze a broad range of complex laws and regulations affecting the operations of the Company

including those arising from corporate structures and business models

  • Support the implementation of the Code of Conduct in the Company and promote an ethical and

legally compliant business culture

  • Efficient administration of the Company with regards to ensuring compliance with statutory,

regulatory and corporate governance requirements and effectively supporting the Board

Preferred candidate profile

Required Qualification - LLB

Current Experience- 2+ years required in Banking / NBFC, Corporate Role
