Job Description

We are seeking an experienced and strategic financeprofessional to lead our equity fundraising efforts . As Director Equity Funding, you will be responsible for developing capital raisingstrategies, executing equity funding transactions (private equity, strategicinvestors, PIPEs, IPOs), and building strong relationships with investors andfinancial institutions. This is a high-impact leadership role that supports thecompanygrowth and expansion plans.

KeyResponsibilities:

 

Fundraising Strategy & Execution

Develop and execute the companyequity capital raising strategy aligned with business growth objectives

Identify and evaluate appropriate funding sources, including private equity, venture capital, strategic investors, and public markets

Lead end-to-end execution of equity transactions, including term sheet negotiation, due diligence, documentation, and closing

Investor Relations & Stakeholder Management

Build and maintain strong relationships with existing and potential institutional investors, family offices, and strategic investors

Coordinate and lead investor meetings, presentations, and negotiations

Partner closely with internal stakeholders, including CFO, legal, tax, and business teams, during deal structuring and execution

Valuation, Modelling & Analysis

Prepare detailed financial models, business plans, and valuation analyses to support fundraising initiatives

Conduct scenario analysis, deal structuring comparisons, and return modeling to support decision-making

Work with advisors, bankers, and valuation firms as needed

Market & Industry Intelligence

Stay updated on capital market trends, sector-specific investor activity, and valuation benchmarks

Track competitorsfundraising activities and investor interests in similar businesses or sectors

Provide regular reports and strategic insights to senior leadership on funding environment

Compliance & Documentation

Ensure compliance with all regulatory and legal requirements related to equity funding (SEBI, RBI, Companies Act, etc)

Oversee the preparation and review of key deal documents NDAs, term sheets, SPAs, SHAs, and disclosures

Maintain organized records of investor interactions and deal documentation

Key Requirements:

CA / MBA (Finance) from a Tier-1/Tier-2 institute

10 to 15 years of experience in fundraising, investment banking, corporate finance , or private equity

Demonstrated track record of raising equity capital in the private or public domain (preferably $50M+ cumulative)

Strong knowledge of financial modelling, valuation techniques, and capital structuring

Excellent negotiation, communication, and relationship-building skills

Ability to work independently, manage multiple stakeholders, and lead transactions to closure

Preferred Backgrounds:

Experience working in or with high-growth companies, family offices, PE-backed firms, or large conglomerates

Exposure to cross-border transactions or international fundraising

Familiarity with ESG-aligned capital raising or impact investing is a plus
