We are seeking a highly skilled and experienced Company Secretary & Compliance Officer to join our
dynamic team. The ideal candidate will be responsible for ensuring the company's compliance with all
statutory and regulatory requirements and maintaining effective corporate governance practices. The
Company Secretary & Compliance Officer will play a crucial role in advising the board of directors on
corporate governance matters and ensuring that the company operates within legal and ethical standards.

various delivery formats, including design and build, base build, general contracting, and retail fit out. Our

We are currently designing and executing over 1.5 million square feet a year in workspace, retail and commercial interiors for Fortune 500
and Fortune 1000 companies across industries like IT/ITES, BFSI, Real Estate, Media, FMCG, Pharma,
Hospitals, MNCs, and multi industry conglomerates. Ensemble clients include Reliance Industries, Amazon,
Morgan Stanley, Google, IBM, TCS, Adani, Zydus Cadila, Kirloskar Oil Engines, Believers Church Hospital,

• Stay abreast of all relevant laws, regulations, and guidelines affecting the company's operations.
• Develop, implement, and monitor compliance frameworks and procedures.
• Conduct regular compliance audits and assessments to identify and address potential issues.
• Provide guidance to the board of directors on corporate governance best practices.
• Organize and prepare materials for board and committee meetings.
• Assist in the development and implementation of corporate policies and procedures.
Company Secretarial Functions:
• Ensure all statutory and regulatory filings are completed accurately and on time.
• Maintain and update corporate records, including board minutes, resolutions, and other legal
documents.
• Facilitate communication between the board, management, and shareholders.
• Identify and assess potential legal and compliance risks.
• Develop and implement risk mitigation strategies.
• Collaborate with other departments to ensure a comprehensive understanding of potential risks.
Training and Awareness:
• Conduct training sessions for employees on compliance-related matters.
• Keep the team informed about changes in laws and regulations that may impact the business.
• Certified Company Secretary
• Minimum 7+ years of post-qualification business partnering experience.
• Strong understanding of regulatory compliance, corporate actions for M& A, investor servicing, AR
and GM /Postal Ballots handling, policy reviews and Insider Trading Regulation Compliance &
Material Event Awareness
• Strong influencing skills & ability to work with Senior Leaders across functions.
