Position Title
Role Summary
The Company Secretary will serve as a key strategic member of the senior management team. The role will involve end-to-end secretarial, regulatory, compliance and corporate governance responsibilities to support the companys listing readiness and subsequent post-listing obligations. Working closely with the CFO, Board of Directors, external advisors (merchant bankers, regulators, legal counsel), and internal stakeholders, the incumbent will ensure robust systems, timely filings and strong stakeholder management.
Key Responsibilities
Corporate Governance & Board Support
- Organise and facilitate Board meetings, committee meetings (e.g., Audit, Nomination & Remuneration), annual general meeting (AGM), extraordinary general meetings (EGMs): prepare agenda, draft minutes, resolutions, follow-up action items, maintain registers
- Support the Board on corporate governance matters: implement Board charters, code of conduct, risk management policy, related party governance, disclosures, etc.
- Act as the interface between the Board/Committees and management to ensure proper governance frameworks.
- Be thorough on contents of SHA,SPA and relevant documents of the company
Statutory & Secretarial Compliance
- Ensure compliance with the Companies Act, 2013, Secretarial Standards (SS-1, SS-2), SEBI (LODR) FEMA/FIPB/FDI compliances if applicable.
- Maintain and update statutory registers, records of directors & shareholders, minute books, filings with Registrar of Companies (ROC)/MCA, depositories, and other relevant authorities.s
- Handle secretarial audits, internal reviews and support external statutory audits as required.
Risk, Policy & Advisory
- Provide advice to senior management and Board on corporate-law, securities-law, governance, regulatory changes and their implications.
- Develop and implement secretarial policies and procedures to embed best practices and scalability as the company transitions to a listed entity.
- Support training/induction of directors and senior management on governance and regulatory obligations.
Other Responsibilities
- Manage any subsidiary or jointventure secretarial/compliance matters as required.
- Handle share capital management, dematerialisation, reconciliation of share capital audit, liaison with R&TA.
- Drive process improvements in the secretarial function, digitalisation of secretarial records, and strengthen internal controls.
IPO & Listing Readiness
- Lead and coordinate the companys IPO readiness exercise: work with the Board, management and external advisors on documentation, regulatory preparation, due diligence, corporate restructuring (if any) and listing processes.
Required Qualifications & Experience
- Qualified Member of Institute of Company Secretaries of India (ICSI).
- Ideally 4-10 years of postqualification experience in company secretarial, compliance or governance roles in India; with significant exposure to IPO/listing readiness or managing listed-company secretarial/compliance functions. (Alternatively, in smaller companies but with demonstrable IPO/listing experience)
- Strong knowledge of the Companies Act, 2013, SEBI (ICDR)/(LODR) Regulations, listing rules, stock-exchange/depository procedures, secretarial standards, FEMA/FDI/Foreign-entity rules.
- Proven experience managing IPO/listing process (or readiness for same) preferred.
- Excellent communication, stakeholder-management and drafting skills; ability to work with Board, senior management, regulators, advisors and external agencies.
- High integrity, attention to detail, strong organisational and time-management skills; ability to prioritize and work in a dynamic environment.
Desired Attributes
- Experience in preparing and reviewing prospectuses/offer documents or similar regulatory filings.
- Exposure to corporate restructuring, mergers & acquisitions, group/subsidiary compliance.
- Experience in handling share-capital-related processes (demat/remat, reconciliation, transfer agents).
- Comfortable working in a fast-growing organisation and playing a hands-on role as the company gears up for IPO.
- Ability to conceptualise and implement secretarial/ compliance frameworks for a transitioning company.
