Job Description

1. Job Purpose

The Company Secretary will ensure compliance with corporate laws, regulatory requirements, board governance standards, and statutory obligations applicable to an organization. The role involves handling company secretarial functions, supporting board and committee operations, managing contractual obligations, and maintaining compliance across multiple project SPVs and joint ventures

2. Key Responsibilities.

A. Statutory & Regulatory Compliance

  • Ensure compliance with the Companies Act, SEBI regulations (if applicable), FEMA, and other statutory requirements.
  • Manage all company filingsannual returns, financial statements, forms, resolutions, etc.
  • Monitor compliance for group companies, subsidiaries, and project SPVs involved in EPC projects.
  • Coordinate with ROC, MCA, legal authorities, auditors, and regulators.

B. Board & Governance Management

  • Organize and conduct Board Meetings, Committee Meetings, and Annual General Meetings.
  • Draft Notices, Agendas, Board Notes, Resolutions, and Minutes.
  • Maintain statutory registers and records in accordance with legal requirements.
  • Advise management on corporate governance best practices.

C. Contractual & Project Compliance Support (EPC-Specific)

  • Review and validate compliance aspects of EPC contracts, joint ventures (JVs), consortium agreements, MOUs, and vendor agreements.
  • Ensure adherence to contractual obligations related to warranties, guarantees, LDs, risk allocation, and dispute clauses.
  • Support project teams in fulfilling regulatory and documentation requirements for bidding, project execution, and handover.
  • Manage compliance for project-specific licenses, approvals, and environmental & safety norms in coordination with EHS/Project teams.

D. Corporate Legal & Risk Management

  • Assist in drafting, vetting, and negotiating contracts, NDAs, LOIs, subcontract agreements, etc.
  • Liaise with external legal counsel on litigation, arbitration, and dispute resolution matters.
  • Assess legal and compliance risks and recommend mitigation strategies.

E. Secretarial Support for Finance & Corporate Structuring

  • Support fundraising activities—loans, charge creation/modification, debenture issues.
  • Handle corporate actions—share allotment, transfer, buyback, dividend, ESOPs.
  • Assist in internal audits and due diligence for mergers, acquisitions, or restructuring.

F. Documentation & Reporting

  • Prepare compliance reports for management, board, and audit committees.
  • Implement and monitor internal control systems for governance and statutory compliance.
  • Maintain centralized documentation for contracts, licenses, approvals, and statutory records.

3. Required Qualifications & Experience

Education

  • Qualified Company Secretary (Member of ICSI).
  • LLB or MBA (Legal/Finance) preferred.

Experience

  • Minimum 7 years

    of post-qualification experience.
  • Experience in an EPC, construction, infrastructure, or project-based organization is

    highly preferred

    .
  • Exposure to SPV-based project structures, JVs, and complex contracting frameworks is an advantage.

4. Key Skills & Competencies

Technical Skills

  • Strong understanding of corporate laws, SEBI guidelines, and regulatory frameworks.
  • Experience in EPC contract compliance and statutory documentation.
  • Proficiency with MCA21 portal, secretarial software, and contract/document management systems.

Soft Skills

  • Strong communication and drafting ability.
  • High integrity and confidentiality.
  • Problem-solving, risk assessment, and decision-making skills.
  • Ability to work closely with cross-functional teams (Engineering, Procurement, Projects, Finance).

5. Key Deliverables

  • Accurate and timely statutory filings and compliance calendars.
  • Effective conduct of board and committee meetings.
  • Zero non-compliance across the corporate and project entities.
  • Well-structured governance systems across the EPC organization.
  • Legal and compliance risk mitigation for ongoing EPC projects.
