About the Role:
We are seeking an experienced and detail-oriented Company Secretary to join our team. The ideal candidate will be responsible for ensuring compliance with statutory and regulatory requirements, handling secretarial functions under the Companies Act, 2013, and managing key legal and investor-related matters. This is a high-impact role requiring sharp legal acumen, excellent communication skills, and strong professional integrity.
Key Responsibilities:
Corporate Secretarial Compliance
: - Convening and managing Board Meetings, General Meetings, and Committee Meetings including preparation of agendas, notices, minutes, and resolutions in line with the Companies Act, 2013.
- Maintenance of statutory registers such as Register of Members, Directors, Share Transfers, and related filings with the Ministry of Corporate Affairs.
Legal Business Documentation:
- Draft and prepare essential legal and business documents including NDAs, SLAs, commercial contracts, and service agreements
- Review legal documents, agreements, and vendor contracts to ensure alignment with company policies and applicable laws
Investor Relations:
- Support transaction-related documentation, investor agreements, and ensure appropriate controls and confidentiality standards
- Coordinate with investors and stakeholders for documentation, compliance, and governance queries
Regulatory and Legal Knowledge:
- Stay abreast of corporate legal developments regulatory changes
- Possess working knowledge of trademark laws and processes; support in trademark filings and renewals
Stakeholder Engagement:
- Build and maintain strong professional networks with regulators, legal professionals, industry peers, and internal stakeholders
- Support business teams with legal interpretations and governance support as needed
Qualifications Skills:
- 5+ years of relevant experience, preferably in a corporate or start-up environment
- Sound understanding of Companies Act, 2013, SEBI regulations, and corporate governance frameworks
- Proficient in legal drafting and document review
- Working knowledge of intellectual property laws (especially trademarks)
- Excellent communication, interpersonal, and networking skills
- High attention to detail and organizational skills
- Ability to manage confidential information with discretion
