Job Title: Company Secretary Location: T.Nagar, Chennai Department: Legal & Compliance Reporting To: Managing Director / CEO Industry: NBFC & Real Estate Experience: 5+ years (preferably in NBFC/real estate sector) Job Summary: We are seeking a qualified and experienced Company Secretary (CS) to handle secretarial, legal, and regulatory compliance for our NBFC, AIF and real estate business. The ideal candidate should have in-depth knowledge of corporate laws, SEBI regulations, RBI guidelines, RERA, and Companies Act provisions applicable to both financial and real estate sectors. Key Responsibilities: Statutory and Regulatory Compliance Ensure timely compliance with Companies Act, 2013 and applicable NBFC regulations under RBI. Ensure adherence to SEBI, FEMA, and RERA (for real estate projects) guidelines and filings. Manage filings with the Registrar of Companies (ROC), RBI, and other regulatory authorities. Conduct periodic compliance audits and risk assessments. Secretarial Functions Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs). Draft and maintain minutes, board resolutions, notices, and statutory registers. File necessary returns and forms with regulatory authorities (e.g., MGT-7, AOC-4, DIR filings, etc.). Corporate Governance Advise the Board on best governance practices and ensure compliance with statutory requirements. Maintain strong corporate records and support directors in discharging their duties. Legal Advisory and Documentation Draft and review agreements, MoUs, joint venture agreements, and other legal documents. Handle legal matters related to property acquisition, project development, financing, leasing, and sales. Coordinate with external legal counsel for litigation or dispute resolution. NBFC-Specific Compliance Ensure compliance with RBI norms relating to NBFCs (returns, disclosures, KYC/AML norms). Monitor capital adequacy, loan documentation, and asset classification compliance. Prepare RBI reports (e.g., NBS-1, NBS-2, CRILC filings, etc.). Real Estate Compliance Ensure project registration and compliance under applicable RERA laws. Handle land documentation, due diligence, and statutory permissions for real estate projects. Liaise with local authorities and legal firms for property and project-related compliance. Qualifications & Skills: Qualified Company Secretary (ICSI membership mandatory). LLB (preferred but not mandatory). Minimum 5 years of relevant experience in NBFC and/or real estate sector. Sound knowledge of Companies Act, FEMA, RBI NBFC Guidelines, RERA, SEBI regulations. Excellent drafting, communication, and organizational skills. Strong ethics, confidentiality, and attention to detail. Job Type: Full-time Pay: ₹35,000.00 - ₹50,000.00 per month Schedule: Day shift Language: Hindi (Preferred) English (Preferred) Work Location: In person
