Role Purpose

To ensure the company complies with all statutory and regulatory requirements under the Companies Act and other applicable laws, while also managing corporate governance, board-related matters, and legal affairs of the organization.

Key Responsibilities

Company Secretary Functions

  • Ensure compliance with the

    Companies Act, 2013

    and other statutory requirements.
  • Organize, prepare agenda, and draft minutes for

    Board Meetings, Committee Meetings, and General Meetings

    .
  • Maintain statutory registers, records, and filings with MCA/ROC.
  • Draft board resolutions, notices, annual reports, and compliance certificates.
  • Liaise with auditors, regulators, and stakeholders on governance matters.
  • Advise the Board and senior management on

    corporate governance and best practices

    .

Legal & Compliance Functions

  • Draft, vet, and review contracts, agreements, and MoUs.
  • Handle legal documentation for property, vendors, and customers.
  • Manage litigation, coordinate with external legal counsels, and represent the company in legal matters.
  • Ensure compliance with

    FEMA, Labour Laws

    , and other applicable legislations (depending on business nature).
  • Provide legal opinions and advisory support to management on day-to-day matters.
  • Monitor and mitigate potential legal risks in business operations.

Key Skills & Competencies

  • Strong knowledge of

    Company Law, , FEMA, Labour laws, and Corporate Governance

    .
  • Excellent drafting, communication, and presentation skills.
  • High integrity, confidentiality, and attention to detail.
  • Analytical and problem-solving mindset.
  • Ability to work with senior management and Board of Directors.

Educational Qualification & Experience

  • Qualified Company Secretary (ACS/FCS) from ICSI

    mandatory.
  • Bachelors degree in Law (LL.B.) – LL.M. will be an advantage.
  • [3–4] years of experience in

    corporate governance, legal, and compliance functions

    , preferably in a manufacturing/engineering/listed company.
