Job Description

We are seeking a Company Secretary with a strong understanding of corporate laws, governance, and RBI/NBFC compliance frameworks. The ideal candidate will ensure legal and regulatory compliance, manage board processes, and act as a vital link between the management and Board of Directors.
Only Female candidates required.

Key Focus Areas:

  • In-depth understanding of corporate laws and corporate governance practices.
  • Strong drafting, communication, and interpersonal skills.
  • Ability to handle multiple stakeholders and deadlines efficiently.
  • High level of integrity, discretion, and professionalism.

Roles and Responsibilities:

  • Ensure compliance with the Companies Act, corporate laws, and other statutory requirements.
  • Monitor and interpret updates in RBI circulars, NBFC Master Directions, and Companies Act; advise management accordingly.
  • Handle RBI filings, including monthly returns, quarterly NBS reports, FPC filings, and other statutory submissions.
  • Maintain statutory registers such as members, directors, and secretaries.
  • Draft and review company policies, shareholder agreements, and board resolutions.
  • Coordinate internal and external audits related to secretarial and compliance functions.
  • Support in corporate restructuring, capital infusion, share transfers, or changes in management/shareholding.
  • Ensure timely submission of annual reports and other regulatory filings.

Skills and Experience:

Educational Qualifications:

  • Bachelor’s or Master’s degree in Finance, Economics, or Business.
  • Additional certifications such as MBA, CFA, or FRM preferred.

Technical Skills:

  • Experience with Loan Origination Systems (LOS) and Loan Management Systems (LMS).
  • Familiarity with credit risk models and data analytics tools.

Regulatory & Compliance Expertise:

  • Strong knowledge of RBI guidelines, NBFC norms, and lending-related regulations.
  • Proven experience in compliance functions within a regulated financial setup.

Work Experience:

  • Minimum 2 years of experience in an NBFC or banking environment, focusing on compliance and credit operations.

Soft Skills:

  • Excellent verbal and written communication abilities.
  • High attention to detail and ability to manage multiple priorities.

Good to Have:

  • Exposure to debt listing procedures and related compliance documentation.

Job Type: Full-time

Pay: ₹1,000,000.00 - ₹1,500,000.00 per year
