Job Description: Company Secretary (CS) Location: Malad West, Mumbai, India Company Type: Listed Company (Currently Private, to be converted shortly) Experience: 2-5 Year of Post Qualification Experience Qualification: Member of the Institute of Company Secretaries of India (ICSI) Role Overview The Company Secretary will serve as a key managerial personnel (KMP) responsible for ensuring the company's compliance with statutory and regulatory requirements. The role involves guiding the Board of Directors on governance matters, ensuring high standards of corporate compliance, and acting as a bridge between management, shareholders, regulators, and other stakeholders. Key Responsibilities 1. Statutory & Regulatory Compliance Ensure compliance with the Companies Act, 2013 , ICSI secretarial standards (SS-1 & SS-2) , and SEBI (LODR) Regulations, 2015 . Prepare, review, and file statutory returns/forms with ROC , MCA , SEBI , Stock Exchanges , and any other regulatory bodies. Maintain statutory registers, records, and minute books for Board, Committee, and General Meetings. Oversee compliance under SEBI regulations such as PIT (Prohibition of Insider Trading), ICDR, SAST, Buyback, and Delisting, as applicable. 2. Board & Governance Support Organize, convene, and participate in Board Meetings, Committee Meetings, and Annual General Meetings. Draft agenda, notices, notes to the board, and minutes in accordance with Secretarial Standards. Advise the Board on governance, corporate laws, and regulatory impacts of strategic decisions. Coordinate with directors on filings, disclosures, declarations, and training/compliance requirements. 3. Corporate Governance & Stakeholder Management Develop best-practice governance frameworks and ensure adherence to ethical corporate conduct. Liaise with stock exchanges (NSE/BSE) on disclosures, corporate announcements, and compliance monitoring. Manage relationships with shareholders, investors, depositories, and registrars (RTA). Handle investor grievances in coordination with the Investor Relations and Legal teams. 4. Secretarial Audit & Internal Controls Coordinate with Secretarial Auditors and Statutory Auditors during audits. Ensure prompt closure of audit observations. Implement internal controls and monitoring systems to track compliance across departments. 5. Corporate Actions Oversee and execute corporate actions such as: Dividend declaration & distribution Bonus issue Preferential allotment Rights issue ESOP implementation Share transfers/splits/consolidation Ensure all corporate actions comply with SEBI and stock exchange regulations. 6. Policy & Documentation Management Draft, review, and maintain mandatory corporate policies such as: Code of Conduct Whistleblower/Vigil Mechanism Insider Trading Policy Related Party Transactions (RPT) Policy Risk Management Policy Maintain updated charters for Board and Committee functions. Preferred Qualifications & Skills Educational & Professional ACS degree from ICSI; FCS preferred. Experience working with listed companies or large corporate groups. Knowledge of corporate law, securities laws, FEMA, and governance practices. Technical Skills Proficiency in MCA portal, SEBI portals, stock exchange compliance platforms. Strong drafting, documentation, and regulatory reporting skills. Soft Skills Strong communication and stakeholder management abilities. High level of integrity, attention to detail, and ability to maintain confidentiality. Ability to work with senior leadership and manage high-pressure deadlines. Preferred Experience 2-4 years of post-qualification experience.
