Job Description

Key Responsibilities

Secretarial & Compliance Functions

  • Manage all secretarial functions within the organization.
  • Ensure compliance with applicable laws, regulations, and internal policies.
  • Uphold and promote Corporate Governance standards throughout the company.
  • Prepare and file statutory returns, forms, applications, and reports with the Registrar of Companies (RoC), Ministry of Corporate Affairs (MCA), and other government or semi-government authorities.
  • File compliance reports, annual reports, and other statutory documents on behalf of the company.
  • Organize and conduct Board and Committee Meetings, including preparation of agendas, notices, and minutes.
  • Liaise with directors, shareholders, regulators, and other stakeholders as required.
  • Monitor regulatory developments relevant to secretarial matters and advise management on necessary actions to ensure continuous compliance.

Additional Legal & Governance Responsibilities

  • Draft and review agreements, policies, and legal documents for vendors, clients, and internal stakeholders.
  • Support legal, secretarial, and compliance matters including due diligence, audits, and labour law issues.
  • Ensure compliance with Company Law across the organization and its subsidiaries.
  • Maintain statutory registers and records; manage the printing and circulation of Annual Reports.
  • Handle shareholding management and related documentation.
  • Prepare and submit applications to RoC, Department of Company Affairs, and MCA for required approvals or permissions.
  • Coordinate with auditors during audits, address queries, and seek legal counsel when necessary.
  • Promote a culture of compliance aligned with the Companys Code of Conduct and industry best practices.
  • Undertake additional assignments as directed by the Legal Counsel or Management.

Competencies & Skills

Technical Competencies

  • Strong knowledge of Compliance, Corporate Governance, and Corporate Laws.
  • Good understanding of regulatory frameworks, governance principles, and statutory filing processes.
  • Proficiency in MS Office applications (Word, Excel, PowerPoint).
  • Strong analytical and interpretive abilities.

  • Ability to interact effectively at all organizational levels.
