Role Overview: You will be joining Incedo as an Associate Director in the Legal department based in Gurugram. Your main responsibility will be to provide legal support to the organization, ensure compliance with laws and regulations, review contracts, manage legal documentation, and assist in risk mitigation strategies. Collaboration with cross-functional teams in an IT service industry environment will be a key aspect of this role. Key Responsibilities: - Legal Advisory: - Provide legal guidance on corporate, commercial, and employment matters. - Contract Management: - Draft, review, and negotiate various agreements such as NDAs, MSAs, SOWs, vendor contracts, and client agreements with both Indian and International clients. - Ensure all contracts comply with legal, regulatory, and company policies. - Ensure adoption of best industry practices. - Compliance and Regulatory Support: - Monitor compliance with laws, industry regulations, and internal policies. - Assist in implementing legal frameworks for data privacy (e.g., GDPR, CCPA) and IT-related regulations. - Risk Management: - Identify and mitigate potential legal risks by providing strategic advice to stakeholders. - Support in the resolution of disputes, including pre-litigation matters. - Documentation and Reporting: - Maintain accurate records of legal documents and proceedings. - Draft legal memos, opinions, and summaries for senior management. - Liaison with External Counsel: - Coordinate with external legal advisors, when necessary, on specialized matters. - General Support: - Assist in legal due diligence processes, audits, and statutory filings. - Address intellectual property-related matters, including patents, trademarks, and copyrights. Qualifications and Skills: - Educational Qualification: - Bachelors degree in law (LLB) is mandatory; a Masters in Law (LLM) is a plus. - Certifications in Corporate Law, Intellectual Property, Compliance, Data Privacy are preferred. - Experience: - 10+ years of experience in legal roles, particularly in IT services or corporate legal teams. - Key Skills: - Strong knowledge of contract law, corporate law with a specific emphasis on IT-related functions. - Familiarity with data privacy laws like GDPR, CCPA, and IT Act. - Excellent drafting, reviewing, and negotiation skills. - Ability to analyze legal risks and provide practical solutions. - Strong interpersonal and communication skills. - Proficiency in legal research tools and MS Office.
