Job Description

Role Overview: As an Associate Company Secretary at Deutsche Brse India Private Limited, you will be responsible for supporting the board of directors in their governance and legal duties. Your role will involve independently managing board and shareholder meetings, ensuring compliance with statutory and regulatory obligations, maintaining corporate records, and providing administrative support to directors. Key Responsibilities: - Schedule, organize, and execute all Board of Director meetings, including committee meetings, by strategically planning agendas, inviting attendees, reserving meeting spaces, and handling logistical issues. - Manage annual and extraordinary shareholder meetings, including the preparation and distribution of meeting materials. - Take meeting minutes, maintain corporate records, and manage the action tracker for resolutions and corporate governance obligations. - Ensure compliance with statutory and regulatory obligations, monitor changes in legislation, and take necessary actions. - Coordinate the publication and distribution of annual reports, corporate governance reports, and statutory reports. - Assist in the induction of new Directors, provide training and updates, and offer administrative support. - Interact with external regulators and advisers, develop compliance systems, and manage contract content. Qualifications: - Bachelor's degree in Law, Business Administration, or a related field. - Professional certification as a Certified Director by the Indian Institute of Corporate Affairs (IICA) and/or a Company Secretary (CS) is strongly preferred. - Minimum of 5 years of experience in a similar role within the financial services industry. - Strong knowledge of corporate governance laws and regulations. - Excellent organizational and communication skills. - Proficiency in Microsoft Office Suite and other relevant software.
