Job Description

Role & responsibilities

Customize standard documentation to suit each tender.
Create Templates for various types of Contracts.
Ensure allocation of liability to properly reflect the negotiations.
Conduct Contractor/vendor correspondence review. Provide legal advice on response & remedial measures.
Support negotiating officer on the appropriateness during negotiations & participate if necessary.
Coordinate with the Project team and advice on legal position of each contract
Oversight of negotiation with vendors/contractors: (i) initial and final proposal from the vendor/contractor; (ii) minutes of meetings; (iii) Term Sheet (a summary of the general commercial terms fixed and agreed with vendor/contractor); (iv) negotiation team.
Draft contracts: (i) understanding the business deal based on the results of the negotiation with vendors/contractors; (ii) evaluation of the business deal in relation to the applicable law; (iii) gathering of all relevant documents (Term Sheet, specification, drawings, Programme, etc.); (iv) risk assessment; (v) facilitate managements internal review of the contract documents; (vi) discuss/liaise with the contractors/vendors the draft agreement until the final version is agreed; (vii) facilitate or manage the execution of the contract.
Review/monitor contractor/vendor’s performance in terms of progress and compliance with the provisions of the contract and with the applicable regulatory requirements.
