You will be joining Dugain Advisors LLP, a boutique corporate advisory and legal firm in Karol Bagh, New Delhi. Specializing in startup funding, mergers & acquisitions, legal compliance, and corporate law, the firm offers an exciting opportunity to work directly on live deals and core compliance matters. **Key Responsibilities:** - Conduct compliance due diligence for VC investments - Draft and review transaction documents: rights issue, private placement, buybacks, and preferential allotments - Manage compliance and documentation for VC funding (including SSA/SHA implementation, board and shareholder approvals) - Handle compliance for ESOPs and Phantom Stock Plans - Assist foreign entities in establishing operations in India - Coordinate with investors, startups, and legal counsels to ensure deliverables - Strike off companies under the Fast Track Exit Scheme - Convene and conduct Board Meetings, AGMs, EGMs, Committee and investor meetings - Prepare & maintain notices, agendas, resolutions, minutes, statutory registers, and annual reports - Ensure timely ROC filings, MCA compliance, and maintain statutory books - Support with director changes, name/object change, and related MCA filings - Track regulatory updates and ensure company policies remain compliant - Assist in IBC matters at NCLT/NCLAT; draft and respond to legal notices, recovery, and litigation documents - Draft legal opinions, notices, and compliance documents - Provide risk-based compliance advisory under Companies Act, FEMA, SEBI, and MSME laws - Keep updated with changes in corporate law and advise startups and SMEs accordingly - Coordinate with internal teams and clients for status updates and timelines - Analyze legal and financial data to support diligence and advisory assignments - Ensure quality control and timely delivery of work with assigned team members **Candidate Requirements:** - Registered student with ICSI / Member with ICSI - Knowledge of Companies Act, FEMA, SEBI, MSME, and startup funding norms - Familiar with MCA portal, ROC procedures, and VC documentation - Experience with legal drafting, compliance audits, and basic litigation support is preferred - Good command over English (spoken & written), MS Office, and Google Workspace - Ability to multitask, stay organized, and deliver in time-sensitive environments,
