PF Secretarial

Job Purpose

To support in the Secretarial function of the Company; assist is resolving shareholder grievances and claim their shares from Investor Education and Protection Fund; to assist in co-ordinating with KFin ( company’s RTA) and to monitor their activates; assist in implementation of the Code of Conduct relating to insider trading.

Job Context & Major Challenges

• To assist in transfer of unclaimed dividend and shares to IEPF authority by complying with prescribed provisions of IEPF rules.
• To assist in monitoring dividend and shares transferred to IEPF authority and to process applications received from shareholders for release amount and shares to IEPF.
• To assist in preparing reply for shareholders and for the IEPF authority relating to the claims of the shareholders.
• To assist in monitoring the activities of the RTA.
• To assist in matters relating to implementation of the Code of Conduct for insider trading.

KRA1 Scrutiny of the IEPF documents Assisting in organizing and scrutinizing the documents received from the shareholders for processing the IEPF applications.KRA2 Reply to queries received from the IEPF Collecting the relevant data for preparing the reply to the IEPF for the queries received from them in connection with the applications made by the shareholdersKRA3 Monitoring activities of the RTA Checking whether the required reports and registers are received from the RTA. Preparing a list of the same and assisting in checking themKRA4 Code of Conduct for Insider Trading Assisting in preparing the weekly reports for tracking compliance with the Code of ConductKRA5 ESOS Preparing the daily Fair Market Value ReportKRA6 Daily stock exchange updates, tracking of circulars issued by the Ministry of Corporate Affairs and SEBI Preparing the list of daily updates made by peers and Group companies to the stock exchanges. Tracking circulars issued by the MCA and SEBI and circulating the same to the team.
