Key Responsibilities

• Regulatory Compliance:

  Ensure strict compliance with all regulations, including the SEBI (Listing Obligations and Disclosure Requirements) Regulations, the Companies Act, and other applicable laws and circulars from regulatory bodies like SEBI and stock exchanges (BSE/NSE).

• Filings & Disclosures:

  Manage and oversee all timely and accurate filings, submissions, and disclosures to the stock exchanges and regulatory authorities. This includes financial results, corporate governance reports, shareholding patterns, and other event-based disclosures.

• Corporate Actions:

  Coordinate and manage all compliance-related activities for corporate actions such as rights issues, bonus issues, stock splits, and buybacks.

• Internal Controls & Audits:

  Develop, implement, and maintain robust internal controls and procedures to ensure compliance. Coordinate with internal and external auditors and address any findings related to listing compliance.

• Advisory & Training:

  Provide expert advice to the board of directors and senior management on new and existing regulations and their implications. Conduct training sessions for relevant departments to ensure a company-wide culture of compliance.

• Board & Committee Support:

  Prepare materials for and assist in organizing board meetings, committee meetings (e.g., Audit Committee, Stakeholders Relationship Committee), and general meetings, ensuring all secretarial standards and corporate governance norms are met.

• Stakeholder Communication:

  Serve as the key liaison with stock exchanges, registrars, share transfer agents, and other external stakeholders for all listing compliance matters.

Expertise Required

Deep knowledge of SEBI (LODR) Regulations, the Companies Act, and other relevant corporate and securities laws.

Soft Skills required

Strong analytical, communication, and organizational skills. The ability to work under pressure, manage deadlines, and pay meticulous attention to detail is crucial. You must be a skilled problem-solver with high integrity and discretion.
