Job Description

Job Purpose
To manage and oversee end-to-end Secretarial and Compliance functions, ensuring timely adherence to applicable laws, regulatory guidelines, governance frameworks, and CSR-related obligations across the organization and its subsidiaries.Key ResponsibilitiesA. SecretarialManage Board, Committee, and Shareholder meetings: Prepare notices, agendas, minutes, and ensure MCA/RBI filings.Ensure statutory compliance under Companies Act, 2013 and Secretarial Standards; maintain statutory registers.Draft, review, and update corporate policies, SOPs, operations manuals, and governance documents.Assist in the formation of subsidiaries and amendments to Memorandum & Articles of Association (MoA/AoA).Ensure compliance with governance frameworks like PFMI (Principles for Financial Market Infrastructures).B. ComplianceOversee compliance with Corporate Laws, Tax Laws, Labour Laws, Environmental Laws, Data Privacy, Cybersecurity, PMLA, FEMA, and sector-specific RBI/IFSCA guidelines.Lead and coordinate regulatory audits/inspections by RBI, IFSCA, and other authorities; manage timely resolution of inspection observations.Maintain and update a Compliance Management System; track amendments in laws and implement required changes.Centralize and manage regulatory correspondence; ensure timely submissions and reporting to senior management.Conduct compliance verification with supporting evidence; deliver internal training on compliance requirements.Required Skills & CompetenciesTechnical & Legal KnowledgeStrong knowledge of Companies Act, 2013, Secretarial Standards, and other corporate governance frameworks.Working knowledge of:RBI Act, 1934Payment and Settlement Systems ActFEMAMSME ActLabour LawsData Protection & Cybersecurity (DPDP Act)Environmental LawsPMLAFunctional SkillsEnd-to-end secretarial function handlingLegal drafting and policy documentationRegulatory audit/inspection managementCompliance tracking and evidence-based validationImplementation of regulatory updates across systemsSoft SkillsExcellent written and verbal communicationLegal research and impact analysisHigh attention to detailTeam leadership and cross-functional collaborationProactive stakeholder communication (Board, regulators, internal teams)
