Company Secretary

Job Responsibilities:

• Independently handle all secretarial activities, including event-based listing compliances such as Preferential Issue and ESOPs.
  
• Prepare and file

  Annual, Half-Yearly, and Quarterly

  compliances with Stock Exchanges as per

  SEBI (LODR) Regulations, 2015

  , along with other regular correspondence for a listed company.
• Maintain strong working knowledge of

  Companies Act, 2013

  and

  SEBI Listing Regulations

  .
• Draft agendas and minutes for Board and Committee Meetings; conduct Board, Committee, and Annual General Meetings.
  
• Revise and draft company policies in line with the Companies Act, 2013 and SEBI LODR; benchmark corporate governance practices against leading companies.
  
• Handle SCORES/Stock Exchange compliances independently.
  
• Prepare

  Board Reports

  and

  Annual Reports

  .
• File various e-Forms with MCA and manage other day-to-day departmental activities.
  
• Ensure timely transfer of shares and dividends to the

  Investor Education and Protection Fund (IEPF)

  and maintain compliance with IEPF requirements.
• Track trademark, copyright, and patent validity; coordinate renewals with legal advisors and directors as required.
  

Preferred Candidate Profile:

• Qualified CS

  from the Institute of Company Secretaries of India (ICSI) with a valid

  Membership Number

  (mandatory).
• Minimum 1

  year of experience

  in a

  listed company

  .
• Strong knowledge of corporate laws, SEBI regulations, and compliance requirements.
  
• Ability to work independently and handle multiple responsibilities.
