Job Description for CS

Looking for a suitable candidate for CS role in a rapidly growing closely held company now proposing

an IPO. The candidate should be a Company Secretary with 7+ years of experience. A degree in law

would be an additional qualification though not a prerequisite. The candidate would ideally have

worked in a senior position in a listed company environment and be expected to be proficient and

experienced in the following broad functions:

 Head the secretarial function of the rapidly growing company – the candidate is expected to

be well versed with secretarial standards and practices, Company Law SEBI and Securities

laws and have a working knowledge of Labour laws

 Actual previous hands-on involvement in a public offering would be a great advantage.

 Conduct of Board meetings and shareholder meetings. Preparation of agenda/minutes in

previous employment(s) would be a pre requisite for the right candidate.

 Expert knowledge of Compliances under various corporate laws as also reasonable

knowledge of labour and taxation laws.

 Ability to resolve issues by interaction with agencies/consultants/legal advisors.

 Communication with statutory authorities/market analysts/investors and shareholders /top

management.

 Smooth Interaction and coordination with other departmental functions especially to

educate them in compliances.

 Knowledge and hands on experience with ESOP schemes and practices.

The selected candidate will need to staff the secretarial department appropriately to ensure efficient

functioning of the department to support and assist other line functions.
