Job Title: Company Secretary Location: Gandhinagar, Gujarat Job Type: Full-time Experience: 10+ years Education: CS + LL.B (Law Degree) Notice Period: Immediate joiners or ≤ 1 month preferred Salary: Commensurate with experience and qualifications(15% Hike will Provide on Current CTC) Job Description: A reputed organization is seeking a qualified and experienced Company Secretary to independently manage its Secretarial and Legal functions . The ideal candidate will have strong knowledge of corporate laws, regulatory compliance, and governance practices. Key Responsibilities: Serve as the Company Secretary for the organization and its subsidiaries. Ensure compliance with statutory and regulatory requirements. Independently handle Secretarial and Legal Departments. Conduct secretarial due diligence, manage legal filings, and maintain statutory records. Draft Board/Committee Notes, Minutes, Notices, Resolutions, and Directors' Reports. Organize and conduct AGMs, EGMs, Board, and Committee Meetings. Ensure timely MCA filings and adherence to the Companies Act, 2013. Manage legal processes for mergers, amalgamations, and restructuring. Oversee DIN and DSC applications/renewals. Coordinate governance and compliance matters with stakeholders. Required Qualifications & Skills: Company Secretary (CS) with a Law degree (LL.B). Minimum 10 years of relevant experience. Strong understanding of Companies Act, SEBI regulations, and MCA compliance. Experience in drafting legal documents and handling corporate filings. Proficiency in MS Office (Word, Excel, PowerPoint). Excellent communication, coordination, and presentation skills.
