CFO / Managing Director / Board of Directors

Job Purpose

IPO, listing compliances, SEBI regulations, and ongoing listed entity obligations

Key Responsibilities

1. IPO & Listing Compliance (Mandatory)

  • End-to-end handling of

    IPO / Listing process

    , including coordination with:
    • Merchant Bankers
    • Legal Advisors
    • Auditors
    • Stock Exchanges (NSE/BSE)
  • Drafting and vetting:
    • DRHP / RHP / Prospectus
    • Offer-related agreements and disclosures
  • Ensuring compliance with

    SEBI (LODR / ICDR) Regulations

    and listing norms
  • Post-listing compliance and reporting
  • Supporting strategic decisions by providing legal and compliance insights

2. Secretarial & Statutory Compliance

  • Ensure compliance with:
    • Companies Act, 2013
    • SEBI Regulations (LODR, PIT, SAST, ICDR)
    • Stock Exchange requirements
  • Conducting and managing:
    • Board Meetings
    • Committee Meetings
    • Annual General Meetings (AGMs)
    • Extraordinary General Meetings (EGMs)
  • Preparation and maintenance of:
    • Agenda, minutes, resolutions
    • Statutory registers and records

3. Corporate Governance

  • Advising the Board on:
    • Corporate governance best practices
    • Legal and regulatory implications
  • Ensuring adherence to governance frameworks applicable to listed entities
  • Monitoring compliance of Board and Committee compositions

4. Regulatory Filings & Disclosures

  • Timely filing of returns, forms, and disclosures with:
    • ROC
    • Stock Exchanges
    • SEBI
  • Handling event-based disclosures under

    SEBI LODR Regulations

5. Legal & Advisory Support

  • Drafting, reviewing, and vetting:
    • Agreements, policies, codes, and charters
  • Liaising with external counsels and consultants
  • Handling inspections, audits, and regulatory queries
  • Identifying and managing corporate compliance and governance risks

6. Stakeholder & Investor Coordination

  • Acting as a point of contact for:
    • Shareholders
    • Investors
    • Regulators
  • Handling shareholder queries, grievances, and transfers
  • Represent the company before various regulators and authorities in matters related to the discharge of duties

Key Skills & Competencies

  • Strong knowledge of

    SEBI Regulations & Companies Act

  • Hands-on experience in

    IPO & Listed Company compliances

  • Excellent drafting and documentation skills
  • Strong coordination and stakeholder management abilities
  • High level of integrity and attention to detail
  • Ability to work independently and manage timelines

Mandatory Requirements

  • Qualified Company Secretary (ICSI Member)
  • Proven IPO / Listing experience (must-have)

  • 812 years of relevant post-qualification experience
  • Experience in handling listed company compliances
