Job Description

Key responsibilities

  • Corporate Governance and Compliance:

    • Advise the board of directors on their legal duties, responsibilities, and governance requirements.
    • Ensure the company complies with all relevant laws, regulations, and secretarial standards.
    • Act as the primary point of contact for regulators like the Registrar of Companies (ROC) and the Securities and Exchange Board of India (SEBI).
  • Board and Shareholder Meetings:

    • Coordinate, schedule, and facilitate board, committee, and shareholder meetings.
    • Draft and distribute notices, agendas, and meeting materials.
    • Record and maintain accurate minutes of all meetings.
  • Statutory Records and Filings:

    • Maintain all statutory books and registers, such as the register of members, directors, and charges.
    • Conduct regular secretarial audits to ensure compliance with all laws.
    • Prepare and file all necessary e-forms and documents with regulatory authorities.
  • Investor Relations and Disclosure:

    • Manage communication with shareholders and handle investor queries.
    • Ensure timely and accurate disclosure of company information to the stock exchanges and the public.
    • Manage compliance related to fundraising activities and listing rules.
  • Other Duties:

    • Assist in the preparation of the annual report and other official company documents.
    • Coordinate with internal and statutory auditors.
    • Handle corporate restructuring, foreign collaborations, and other legal and financial advisory services as needed.
