Job Description :

We are looking for a qualified and experienced Company Secretary for our equity-listed organisation. The ideal candidate must have strong knowledge of SEBI regulations, Listing Obligations and Disclosure Requirements (LODR), Companies Act, and corporate governance for listed entities. The role involves ensuring end-to-end statutory compliance, handling board and shareholder matters, and supporting the senior management on regulatory and governance initiatives.

Key Responsibilities : -

1. Statutory & Regulatory Compliance

Ensure compliance with the Companies Act, 2013 and SEBI (LODR) Regulations.

Oversee all filings with MCA, SEBI, Stock Exchanges, and other regulatory bodies.

Update management on changes in corporate and securities laws.

Ensure adherence to insider trading regulations and manage the UPSI framework.

2. Board & Committee Meetings

Organise and conduct Board Meetings, Committee Meetings, and General Meetings.

Draft agendas, notices, minutes, and resolutions.

Coordinate with directors and stakeholders for meeting management.

Maintain statutory registers and records.

3. Stock Exchange Compliance

Handle NSE/BSE filings, including disclosures, corporate announcements, results, and event-based compliances.

Ensure timely submission of shareholding patterns, voting results, annual reports, and quarterly reports.

4. Corporate Governance

Implement and monitor governance practices in line with SEBI & Companies Act requirements.

Assist in preparing corporate governance reports and compliance certificates.

Support the Board in evaluating governance frameworks.

5. Secretarial Audit & Annual Filings

Coordinate with secretarial auditors and statutory auditors.

Prepare annual reports, director reports, and other statutory documents.

Manage XBRL filings and annual returns.

6. Liaison & Stakeholder Management

Liaise with regulators including ROC, Stock Exchanges, Depositories, RTA, SEBI, and internal/external stakeholders.

Provide advisory support on corporate laws and compliance matters.

Skills & Competencies

Strong knowledge of Companies Act, SEBI regulations, LODR & corporate governance norms.

Excellent drafting, communication, and presentation skills.

Attention to detail and ability to manage multiple deadlines.

Strong stakeholder management and coordination skills.

Proficiency in MCA filings, stock exchange portals, and MS Office.

Preferred Experience

Experience working with an equity-listed company or in a consultancy handling listed-entity compliance.

Exposure to IPOs, mergers, ESOPs, and securities law matters is an added advantage.
