Job Description

Key Responsibilities

  • Assist in drafting agendas, minutes, notices, and resolutions for Board, Committee, and AGM meetings.
  • Coordinate with internal and external departments for required information.
  • Maintain and update statutory registers under the Companies Act, 2013.
  • Support drafting and dispatch of the Annual Report.
  • Work on issuance of debt securities and commercial papers.
  • Conduct due diligence for acquisitions of companies/projects.
  • Draft statutory policies and ensure implementation.
  • Manage CSR compliance and risk management functions.
  • Liaise with ROC, SEBI, Stock Exchanges, RTA, and other authorities.
  • Coordinate with Secretarial and Statutory Auditors.
  • Ensure compliance with SEBI regulations, Companies Act, 2013, and Secretarial Standards.

Qualifications

  • Qualified Company Secretary (CS)/ LLB
  • 5 to 10 years of experience in corporate secretarial functions.
  • Strong knowledge of Companies Act, SEBI regulations, and Secretarial Standards.
  • Excellent drafting, communication, and organizational skills.
