Senior Analyst Company Secretary

Position Summary:

As a senior member of the Risk & Compliance function, the Senior Analyst Company Secretary will be responsible for overseeing corporate secretarial activities for a portfolio of group companies in India and abroad. The role demands deep expertise in corporate governance, regulatory compliance, IPO readiness and execution, and legal support for strategic transactions. The ideal candidate must have hands-on experience managing IPOs, from planning through to listing, and be capable of advising the board and senior leadership throughout the process.

Key Responsibilities:

• Ensure compliance with Companies Act, SEBI regulations, and other statutory requirements.
• Maintain statutory registers, filings, and records with ROC and other authorities.
• Assist in Board and Committee meetings – agenda preparation, minutes, and follow-ups.
• Support corporate governance initiatives and compliance audits.
• Liaise with regulators, auditors, and legal advisors as needed.
• Assist in secretarial and corporate legal documentation.

Candidate Profile:

Experience:

• 1 – 3 years of relevant experience, with a strong focus on corporate secretarial responsibilities, IPO execution, and corporate governance.
• Must have end-to-end IPO experience in a leadership or active execution role, preferably in a listed or soon-to-be-listed entity.

Education & Qualifications:

• Member of the Institute of Company Secretaries of India (ICSI) – Mandatory.
• Bachelor’s Degree from a recognized university.
• LLB or equivalent legal qualification is an added advantage.

Functional Expertise:

• In-depth knowledge of the Companies Act, SEBI regulations (including LODR), FEMA, and listing processes.
• Experience managing IPOs, capital markets transactions, and listed company compliances is essential.
• Strong exposure to cross-border structuring and regulatory filings.
