Role & responsibilities

Role Overview

The Legal & Secretarial Manager will be responsible for managing all legal, statutory, and secretarial functions of the organization. The role ensures compliance with corporate laws, FMCG/food industry regulations, contract management, litigation handling, and Board-related secretarial activities. The position requires strong legal drafting, risk management, and stakeholder coordination skills.

Key Responsibilities

1. Secretarial & Corporate Governance

  • Ensure compliance under the Companies Act, 2013 and related rules.
  • Manage Board, Committee, and Shareholder meetingsagenda preparation, notice issuance, minutes drafting, and statutory registers updation.
  • Coordinate with CEO, Directors and Promoters on all secretarial matters.
  • Maintain statutory books, filings, records, and event-based compliances (ROC filings, annual returns, etc.).
  • Draft, review, and update company policies related to governance and compliance.

2. Legal Advisory & Contract Management

  • Draft, review, and negotiate agreements (vendor contracts, distribution agreements, NDAs, lease agreements, supply contracts, marketing agreements, etc.).
  • Provide legal advice on business decisions, commercial matters, HR matters, and contracts.
  • Ensure proper stamping, execution, and safe custody of legal documents.

3. Regulatory Compliance

  • Ensure adherence to FSSAI, Legal Metrology, labor laws, environmental regulations, food safety licenses, and packaging regulations relevant to FMCG.
  • Coordinate with cross-functional teams to ensure all statutory licenses and permits are up to date.
  • Conduct periodic compliance audits and risk assessments.

4. Litigation & Dispute Resolution

  • Handle and monitor litigation matters including consumer cases, commercial disputes, labor issues, and recovery cases.
  • Coordinate with external legal counsel and ensure timely actions on notices, summons, or complaints.
  • Maintain a legal case tracker and advise management on potential legal risks.

5. Risk Management & Internal Controls

  • Identify legal and compliance risks in contracts, business practices, and organizational processes.
  • Recommend mitigation strategies and implement preventive compliance mechanisms.
  • Support internal audits and ensure closure of compliance-related observations.

6. Cross-functional Collaboration

  • Partner with HR, Finance, SCM, Sales, Marketing, Manufacturing, and Admin teams on legal and secretarial matters.
  • Support M&A activities, JV structuring, and due diligence (if applicable).

  • Strong knowledge of Companies Act, Contract Law, and FMCG regulatory environment
  • Legal drafting & analytical skills
  • Excellent communication and stakeholder management
  • Documentation, compliance discipline, and attention to detail
  • Ability to handle confidential information with integrity
  • Problem-solving and risk assessment capabilities
  • Experience in managing regulatory bodies and external counsel

Preferred candidate profile

Education & Experience

  • CS qualification (mandatory)
  • LLB/LLM preferred (added advantage)
  • 6 to 15 years of experience in Legal & Secretarial roles

    (FMCG/Manufacturing preferred)

  • Experience with Board processes, ROC filings, contract review, and regulatory compliance
