About the Company

A leading Iron & Steel, Power, and Mining conglomerate with an annual turnover more than exceeding 35,000 Crores. The company is a pioneer in Eastern India, with a strong presence across multiple verticals and is now expanding further through strategic mergers and acquisitions of sick and other NCLT companies.

Job Purpose

The role involves leading the complete M&A cycle, with special focus on acquisitions through NCLT, including valuation, due diligence, tax planning, compliance, and post-acquisition integration. The candidate will be a key strategic advisor to the management on inorganic growth opportunities.

Key Responsibilities

  • Drive end-to-end cycle of M&A transactions including deal sourcing, valuation, financial modelling, negotiations, and closure.
  • Handle acquisitions through NCLT (National Company Law Tribunal) including distressed asset acquisitions.
  • Lead due diligence (financial, legal, operational, tax) with internal teams and external advisors.
  • Evaluate tax liabilities & regulatory exposure of target companies and structure deals for optimal tax efficiency.
  • Ensure compliance under Companies Act, SEBI, FEMA, Income Tax Act, and other statutory laws.
  • Oversee preparation and review of legal agreements, merger schemes, and restructuring documents.
  • Manage company secretarial functions related to M&A transactions.
  • Drive post-acquisition integration, reporting, and compliance monitoring.
  • Provide strategic inputs to management for growth through M&A opportunities in Iron, Steel, Power & Mining sectors.

Desired Candidate Profile

  • Qualification: Chartered Accountant (CA) + Company Secretary (CS) (Dual Qualification mandatory).
  • Experience: 15 20 years, with at least 810 years in Mergers & Acquisitions, Restructuring, and NCLT acquisitions.
  • Proven expertise in:
  • Valuation & financial modelling
  • Due diligence & risk assessment
  • Company law, tax, and compliance matters
  • Secretarial practices & regulatory filings
    Strong analytical, negotiation, and leadership skills.
  • Exposure to Iron, Steel, Power, or Mining sector will be an added advantage.
