Job description: Executive Secretarial Location: Yelahanka, Bangalore You Will We are looking for a highly organized and detail-oriented Company Secretary to join our team. The ideal candidate will play a crucial role in ensuring compliance with statutory and regulatory requirements, facilitating effective governance practices, and supporting the board of directors in their duties. To Be Successful, You Will Be Expected To Corporate Governance: Ensure the company adheres to all statutory and regulatory requirements, maintaining high standards of corporate governance. Meeting Management: Organize and attend board and committee meetings, preparing agendas, distributing materials, and recording minutes accurately. Record Keeping: Maintain corporate records, including minutes of meetings, resolutions, and statutory registers, ensuring they are up-to-date and compliant. Regulatory Compliance: Monitor and implement changes in relevant legislation, ensuring timely filing of statutory documents with regulatory authorities. Shareholder Communication: Assist in the preparation and coordination of annual general meetings (AGMs) and other shareholder communications. Board Support: Provide guidance to the board on governance best practices and facilitate board evaluations and training. Liaison: Act as a key point of contact between the board, management, and external stakeholders, including regulatory bodies and auditors. Policy Development: Assist in the development and implementation of corporate policies and procedures related to governance and compliance. You must have any or a combination of any of the following skills: Bachelor’s degree in B. Com, Law, or a related field; a professional qualification (e.g., ICSA, ACIS) is highly desirable. 1-3 years proven experience in a company secretarial or governance role. Strong understanding of corporate governance principles, company law, and regulatory requirements. Excellent organizational skills and attention to detail. Strong verbal and written communication skills, with the ability to interact effectively with board members and stakeholders. Ability to work independently and manage multiple priorities in a fast-paced environment.
