What You’ll Do

• Conduct Board Meetings, General Meetings, Audit Committee Meetings, and other statutory meetings.
• Prepare draft agenda notes, board papers, and Directors’ Reports in line with company law requirements.
• Prepare and issue Notices for Board, Committee, and Annual General Meetings as per the Companies Act.
• Draft resolutions in accordance with the provisions of the Companies Act and applicable rules.
• Draft Minutes of Board, Committee, and Annual General Meetings.
• File statutory forms and returns with the Ministry of Corporate Affairs (MCA).
• Maintain and update all Statutory Registers as required under the Companies Act and related rules.
• Collect and record disclosures, declarations, and consents from Directors and present them before the Board.
• Coordinate with Directors, Shareholders, and Board Committees for meetings, approvals, and documentation.
• Manage monthly and quarterly RBI compliance, and ensure annual filings with MCA.
• Support the company in meeting all secretarial, legal, and regulatory requirements.

What We’re Looking For

• Qualified Company Secretary (CS).
• Minimum 5 years of post-qualification work experience is mandatory.
• Prior experience working independently is a strong plus.
• Startup experience will be an added advantage.
• Experience in a regulated entity such as an NBFC, PPI, or Bank is a strong plus.
• Strong understanding of the Companies Act, MCA filings, RBI guidelines, and corporate governance practices.
• Excellent drafting, documentation, and coordination skills.
• Ability to work independently with high ownership and attention to detail.
