Corporate Counsel Company Secretary Gurgaon, India Job Category: Legal POSITION SUMMARY: This position is accountable for the companys compliance, contracts lifecycle management and liaison with regulatory bodies. ESSENTIAL DUTIES AND RESPONSIBILITIES: Other duties may be assigned beyond the core functions listed below: 100% adherence in managing and maintenance of statutory compliances under the Companies Act. Conducting Board Meetings, Shareholders Meeting Committee Meetings. Preparation of Agenda, Minutes of Meetings and all associated secretarial documents. Maintenance of all statutory registers and records up to date and other Secretarial matters as may occur in due course of time. Shall be well versed with the laws as may be applicable to Warehouse and Manufacturing concerns. Drafting, vetting, reviewing of contracts, agreements, deeds, letters, and other legal documents. Coordinating execution of various documents, letters, certificates, power of attorneys, indemnity bonds and other legal agreements. Legal support/ advisory to internal corporate teams including Commercial, Operations and Corporate functions like HR, Finance, IT and other functions. Handling litigation matters and coordinating with external counsel on a day-to-day basis. Coordinate with internal stakeholders to ensure correct implementation of all legal guidelines and policies. Collaborate with functional counterparts to manage data privacy compliance and other matters. Collaborate with global legal team to provide guidance and support to the company. Reviewing /updating of Company policies and training regional employees. Stay current on relevant industry, commercial, privacy, data, employment, and other laws and regulations, including developments to adapt our processes accordingly. Help manage our legal administration to keep our day-to-day legal practices up to date. Any other task may be assigned from time to time. QUALIFICATIONS: To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required. 5 to 7 years of experience in corporate law, finance, governance, strategy, and corporate secretarial practice Company Secretary degree with LLB from a reputed Indian university is required Excellent writing, research, and commercial negotiation skills Experience in contracts lifecycle management (preferably worked on Contract Management Tools), compliance work and Labor, Environment Allied laws shall be preferred . Preference to have experience with large multinational global companies REQUIRED SKILLS: Ability to meet deadlines and demonstrate effective time management skills, Strong communicator - both written and verbal, in technical and non-technical environment, Excellent secretarial, interpersonal and teamwork skills, Experience in Microsoft suite, Proactive and self-motivated. Ability to work independently with minimal supervision and follow through to meet objectives, Works well under pressure, demonstrates flexibility in work style to accommodate changing priorities and fixed deadlines, Ability to build collaborative relationships across corporate hierarchy in a global organization, Excellent business ethics and integrity.
