Role Description

This is a full-time on-site role for a Compliance officer and Company Secretary at Grow House Wealth Management Pvt. Ltd. We are looking for a motivated professional with 2+ years of experience in a listed entity or merchant banking company to join us as Company Secretary & Compliance Officer.

Responsibilities

• Ensure compliance with Companies Act, SEBI Regulations, Listing Regulations, and other applicable laws.
• Handle secretarial compliances including Board/Committee/General meetings, drafting of agendas, notices, resolutions, and minutes.
• Liaison with Stock Exchanges, SEBI, ROC, and other regulatory authorities.
• Manage due diligence, disclosures, and filings for listed entities and merchant banking activities.
• Draft and vet agreements, compliance checklists, and regulatory submissions.
• Monitor and update on regulatory changes impacting merchant banking and capital markets.
• Maintain statutory records, registers, and filings under MCA, SEBI, and Exchanges.
• Carry out due diligence and be instrumental in Issue Management activities including drafting and filing of Prospectus/Draft Offer Documents.

Qualifications

• Qualified Company Secretary (ACS).
• Minimum 2 years of post-qualification experience in a listed entity or merchant banking company.
• Prior exposure to capital market transactions (IPO, Rights Issue, etc.) preferred.
