Job Title: Freelance Company Secretary (4-Month Contract)
Duration: 4 Months (Contract Basis)
Location: Uppal/Hyderabad
About the Role:
We are seeking an experienced and detail-oriented Company Secretary (CS) on a freelance/contract basis for 4 months to manage corporate secretarial, compliance, and documentation work. The role will involve incorporation of entities, statutory filings, debenture-related documentation, and coordination with legal and trustee teams.
Key Responsibilities:
1. Company Incorporation & Structuring
• Incorporation of Private Limited Companies and Special Purpose Vehicles (SPVs).
• Drafting incorporation documents and obtaining approvals from the Ministry of Corporate Affairs (MCA).
2. Debenture Documentation & Compliance
• Drafting and preparing documentation related to debenture issuance, including Debenture Trust Deed (DTD), Debenture Trustee Agreement (DTA), Share Transfer Forms (SH-4), and related instruments.
• Filing forms related to debentures including PAS-3, MGT-4, MGT-14, and other MCA forms.
• Creating and maintaining charge-related documentation and coordinating charge creation/modification filings.
3. Statutory Filings & Compliance
• Preparation and filing of Annual Returns and other periodic ROC filings.
• Ensuring timely submission of statutory forms and compliance documents with MCA.
• Maintaining statutory registers, minutes books, and proper corporate records.
4. Liaison & Coordination
• Coordinating with legal counsel for vetting of documents and agreements.
• Liaising with Debenture Trustees for documentation, compliance, and approvals.
• Engaging with internal teams to ensure smooth document flow and compliance tracking.
5. Documentation & Record-Keeping
• Drafting resolutions, notices, agreements, and compliance reports.
• Maintaining proper records and documentation for audit and statutory purposes.
Requirements:
• Qualified Company Secretary (ACS / FCS) with relevant experience in corporate compliance.
• Prior experience with debenture issuance and MCA filings is preferable.
• Proficient in MCA portal operations, ROC filings, and corporate documentation.
• Strong drafting and legal documentation skills.
• Ability to work independently and meet deadlines.
• Good communication and coordination skills for working with legal and trustee teams.
