Key Responsibilities

IPO & Regulatory Compliance

• Assist in

  IPO preparation activities

  , including coordination with merchant bankers, legal advisors, auditors, and registrars.
• Support in drafting and reviewing

  DRHP/RHP

  , prospectus disclosures, and regulatory filings.
• Ensure compliance with

  SEBI (ICDR) Regulations

  , Companies Act, 2013, and other applicable laws.
• Assist in implementation of

  corporate governance frameworks

  as per SEBI LODR requirements.

Secretarial & Statutory Functions

• Conduct and manage

  Board, Committee, and Shareholders Meetings

  .
• Draft agendas, notices, minutes, resolutions, and action-taken reports.
  
• Maintain statutory registers, records, and filings with

  ROC, SEBI, and Stock Exchanges

  .
• Ensure timely filing of forms, returns, and disclosures.
  

Corporate Governance & Advisory

• Assist in formulating policies such as Code of Conduct, Insider Trading Policy, Whistleblower Policy, etc.
  
• Monitor compliance with

  listing and disclosure norms

  .
• Provide guidance to management on secretarial and corporate law matters.
  

Skills & Competencies

• Strong understanding of

  Companies Act, SEBI Regulations, and LODR

  .
• Excellent drafting, documentation, and communication skills.
  
• High attention to detail and ability to manage deadlines.
  
• Proactive, ethical, and capable of working in a fast-paced environment.
