Role & responsibilities

• Ensure the companys full compliance with SEBI regulations, company law, and other applicable legal requirements.
• Oversee and manage the companys corporate governance practices, ensuring alignment with best practices and legal obligations.
• Advise the Board and senior management on corporate governance matters and compliance with statutory and regulatory requirements.
• Prepare and maintain statutory records, including Board and shareholder meeting minutes, resolutions, and annual filings.
• Manage the timely and accurate filing of all required documents with regulatory bodies such as SEBI, Ministry of Corporate Affairs, and Stock Exchanges.
• Monitor changes in legislation and regulatory frameworks and recommend necessary actions to ensure ongoing compliance.
• Coordinate with external legal counsel, auditors, and regulators as required.
• Support the Board in evaluating and enhancing corporate governance policies and practices.
• Ensure proper documentation and reporting of related party transactions, risk management, and related compliance matters.
• Act as the key liaison between the company, its shareholders, and regulatory authorities.

Preferred candidate profile

• Qualified Company Secretary (CS) with a strong understanding of SEBI regulations, company law, and corporate governance practices.
• In-depth knowledge of the Companies Act, 2013, and other relevant legal frameworks.
• Excellent communication, organizational, and interpersonal skills.
• Ability to work independently and exercise sound judgment in complex situations.
• Proven track record of managing corporate compliance and governance requirements in a dynamic business environment.
