Job Summary:

The Company Secretary (CS) is responsible for ensuring the company complies with legal and regulatory requirements, maintains high standards of corporate governance, and acts as a key advisor to the board of directors on governance, risk management, and legal matters. The CS is a bridge between the company, its shareholders, and regulatory authorities.

Key Responsibilities:

1. Statutory and Regulatory Compliance

  • Ensure compliance with provisions of the Companies Act, SEBI Regulations, FEMA, RBI, and other applicable laws.
  • Timely filing of returns, forms, and documents with ROC, MCA, SEBI, RBI, and other statutory bodies.
  • Maintain statutory registers, records, and minutes (Board, General Meetings, Committees).
  • Ensure secretarial standards compliance.

2. Board and Committee Meetings

  • Organize, prepare agenda, draft and circulate notices and minutes of Board Meetings, Annual General Meetings (AGM), and Extra-Ordinary General Meetings (EGM).
  • Coordinate with directors for scheduling meetings and provide guidance on governance practices.
  • Monitor actions arising out of Board and committee meetings.

3. Legal and Contractual Compliance

  • Review and draft legal documents, agreements, MoUs, and ensure legal vetting.
  • Liaise with external legal counsels and handle litigation or notices if any.
  • Ensure due diligence and compliance in mergers, acquisitions, investments, or restructuring activities.

4. Liaison and Coordination

  • Act as the company’s representative before regulatory bodies like ROC, SEBI, RBI, Stock Exchanges, etc.
  • Coordinate with internal and statutory auditors, legal advisors, consultants, and regulators.

5. Shareholder and Stakeholder Management

  • Handle share allotments, transfers, dividend payments, and investor queries.
  • Ensure compliance with dematerialization norms and coordinate with RTA (Registrar & Transfer Agents).

6. Other Responsibilities

  • Draft and monitor compliance under company policies (Code of Conduct, Whistleblower Policy, Insider Trading Policy, etc.).
  • Assist in corporate secretarial aspects of corporate actions such as private placement, rights issues, bonus issues, etc.
  • Support internal control and risk management framework.

Qualifications and Skills:

  • Education: Qualified Company Secretary (ACS/ FCS) from ICSI
  • Experience: [0–1+ years] post-qualification experience
  • Salary package: As per Industry Standards
  • Excellent knowledge of corporate laws, SEBI, FEMA, listing regulations
  • Strong communication, drafting, and organizational skills
  • Ability to manage confidential information
  • Proficiency in MCA21, SEBI portals, and compliance tools

Job Type: Full-time

Pay: ₹45,000.00 - ₹55,000.00 per month
