Job Description

Job Summary: We are seeking a highly motivated and experienced Company Secretary to join our team. The ideal candidate will be a qualified professional with a minimum of three years of experience, preferably within the real estate or infrastructure sector. This role is crucial in ensuring our company's compliance with all statutory, legal, and regulatory requirements, and in upholding the highest standards of corporate governance.

Key Roles & Responsibilities:

1. Corporate Governance and Compliance:

  • Ensure strict adherence to the Companies Act, Real Estate (Regulation and Development) Act (RERA), and other relevant corporate and real estate laws and regulations.
  • Advise the Board of Directors on corporate governance best practices, their duties, responsibilities, and powers.
  • Develop, implement, and maintain the corporate governance framework, policies, and procedures.

2. Board and Committee Management:

  • Coordinate and facilitate all Board of Directors, committee, and general meetings (AGMs/EGMs).
  • Prepare and circulate meeting notices, agendas, and comprehensive board packs in a timely manner.
  • Attend meetings, meticulously record minutes, and ensure the accurate documentation of proceedings and decisions.
  • Ensure that all decisions made at meetings are properly communicated and implemented.

3. Statutory Filings and Record Keeping:

  • Prepare, draft, and file all statutory forms, resolutions, and documents with regulatory authorities such as the Registrar of Companies (ROC) and RERA.
  • Maintain and update all statutory registers and minute books, including registers of members, directors, and charges.
  • Ensure the security and integrity of all legal and corporate documents.

4. Legal and Contractual Management:

  • Review and vet legal documents, including but not limited to, property agreements, lease deeds, joint development agreements (JDAs), and Memorandums of Understanding (MOUs).
  • Assist in legal due diligence processes for new projects and business ventures.
  • Support the legal team in managing litigation and disputes as required.

Qualifications & Requirements:

  • Qualified Company Secretary (CS) and a member of the Institute of Company Secretaries of India (ICSI).
  • Bachelor's degree in Law, Commerce, or a related field; an LLB is a strong advantage.
  • Minimum of 3 years of proven experience as a Company Secretary, with a strong preference for candidates from the real estate or infrastructure industry.

Job Types: Full-time, Permanent

Pay: Up to ₹65,000.00 per month
