We are looking for a self-motivated and dynamic candidate to support the compliance & legal team of YIAPL based out of Jewar, India. The candidate will be a key member of the team, primarily supporting secretarial, legal and compliance function. The role is envisioned to evolve into a key legal and compliance asset for the organization, with increasing responsibilities in legal matters being integrated progressively. The candidate must have a great attention to detail while still meeting tight deadlines, have great team spirit, and the ability to easily switch gears. A high level of professionalism, integrity, and discretion in handling confidential information is also significant.
1. To support in organizing meetings of the Board of Directors, its Committees, Shareholders, pre and post meeting compliances and activities under the Companies Act.
2. To support in ensuring all compliances under the Companies Act; this includes reviewing and drafting of all secretarial documents.
3. Maintenance of statutory registers and records.
4. To facilitate the Secretarial Audit in collaboration with the designated secretarial auditor.
5. To provide all documents and information to the Statutory Auditor and closure of the Statutory Audit from the secretarial matters.
6. To draft, review, negotiate, and vet various commercial contracts to ensure that contracts are aligned with business objectives while minimizing legal risks.
7. To coordinate with all internal and external stakeholders to ensure the effective functioning, maintenance, and continuous improvement of the cloud-based compliance management solution. This includes overseeing the timely execution of compliance-related tasks, facilitating resolution of issues in collaboration with the compliance service provider, and ensuring alignment with organizational compliance objectives. The role also involves supporting the preparation and consolidation of the periodic compliance reports for presentation to the Board, ensuring accuracy, completeness, and adherence to applicable regulatory and internal standards.
8. To coordinate with internal and external auditors during compliance reviews or audits.
9. To prepare and maintain MIS or other reports for the Management as may be required for the efficient working of the legal, secretarial and compliance functions.
10. To support legal and regulatory research in the areas of corporate secretarial practices and compliance, with the objective of identifying, interpreting, and validating applicable statutory obligations. This includes assessing the relevance and applicability of legal provisions to the organization, evaluating the validity and impact of any instances of non-compliance, and providing inputs to ensure that appropriate corrective and preventive measures are implemented in a timely manner.
11. To liaison with internal and external stakeholders for multiple follow-ups across secretarial and compliance areas.
12. To draft, review, and update legal & compliance-related policies and SOPs.
To support in conducting compliance training programs and workshops for relevant teams.
1. Qualified Company Secretary and law graduate. The candidate must have minimum experience of 4 - 7 years in the legal and compliance matters.
