Job Description

Corporate Laws, Property Laws, Land Acquisition Laws, Civil and Constitutional Laws.

Ensured regulatory compliance of SEBI and RBI and managed commercial and regulatory litigation in

Managed litigations by and against the bank in western India in all forums including consumer courts, city

Providing legal advice and support in drafting and negotiating commercial contracts, residential contracts including Master Services Agreements, Consultancy Agreements, Outsourcing Agreements, sub-contracts Drafting of Sales Deed, Lease Agreements,with a strong background in civil, corporate, labour matters

contract management, Intellectual Property Rights (IPR) including trademarks, Patents and Design, Brand management, Arbitration, Compliances, real estate, Labour matters, Legal Metrology, issues relating mining, power, FEMA/FERA, SPVs, and providing over all legal support to operations, commercial, manufacturing and retail including other departments in achieving their targets with minimum legal exposures and within specified timelines.

  • Operational Area :-

Actively participating in the Legal Audit & Due Diligence Processes for tie-up with funding agencies and other compliances.

Drafting & vetting of contracts and agreements, documents with respect to the property, commercial transactions, logistics/Supply Chain Management-warehousing and financial transactions, merger and acquisitions.

Drafting and legal vetting of Petitions, Replies, Rejoinders and other documents to be filed before different forums and Courts.

Negotiating with Parties/Service Providers (both materials/services/acquisition/approvals), drafting and vetting Vendor/Service Agreements & other documents.

Regulatory compliances pertaining to Corporate, HR (Labour Law), IR matters and other regulatory and legal compliances.

Monitoring stages of clearances for power plants, Steel Plants and End user plants with coal linkage.

Contracts and agreements for prospective projects and litigation/Arbitration relating to such projects in collaboration with foreign technology providers.

Participating with various commercial transactions with various service providers and drafting and vetting Master Services Agreements/Infrastructure Provisioning Services Agreement.

Formulating policy guidelines on land acquisition, documentation, litigation and other related matters.

Contract management and litigation management with special emphasis on reducing litigation by taking proactive measures.

Handling entire IPR portfolio of the company, involved in registration, renewal, opposition, and fling and contesting cases in this regard.

Human Resources (HR) Manuals and Policies. Conducting of enquiries and providing support in IR matters relating to litigations arising out of transfer and dismissal of workmen.

Issues relating to FEMA/FERA, FDI, SPV`s and other financial/commercial issues relating to commercial compliance etc.

Industrial Dispute matters filed under Industrial Dispute Act, matters filed under Shops and Establishment Act, matters arising out of Legal Metrology Act, matters relating to registration/renewal and opposition of Trademarks, including matters relating to Trademark infringement issues.

Estate Management and Internal Control matters.

Foreign Direct investment and issues relating to it.

Advising management on govt. policies and different regulatory and statutory compliances.

Advising Finance Dept. in the interpretation of different clauses of Agreement and Contractsrelating to commercial interpretations and legal implications.Service tax and other tax and insurance related issues.

Devising and implementing methods in the rent control of the properties.

Handling Arbitration matters.

Providing legal advisory and support on PAN India level to different teams having their expertise in the field of legal/litigation-documentation, contract management etc.

Actively involved in team building process by recruiting and training legal personnel to achieve desired goals.

Imparting training and orientation to different teams like business and operation teamsto update them about prevent regulatory law and compliances so that exposure of litigation relating to non compliance issues are reduced.

  • Legal Documentation : -

Drafting & vetting of contracts and agreements such as Collaboration Agreement, Memorandum of Understanding, Land Procurement Agreement, Nomination Agreement, Assignment Agreement, Development Agreement, Joint-venture Agreement, Consortium Agreement, Services Agreement, FSI Agreement, Buy-back Agreement, Vendor (Services & Materials) Agreement, Fund Procurement Agreement, Maintenance Agreement, Company Share-Transfer Agreement, Allotment Letter pertaining to residential/commercial properties, Apartment Deed, Buyers Agreement, Lease Deed, Adornment of Lease Deed, Indemnity Bond, Power of Attorney(s), Partnership Deed, Deed for dissolution of Partnership Firm, Relinquishment Deed, SPV`s, Information Technology Project Reports, Representations before various quasi-judicial bodies/ government authorities.

  • Approval of Projects :-

Comprehensive services for approval of real-estate projects, such as residential plotted colonies, townships, group housing complexes, commercial complexes, information technology projects, Motels & Resorts, etc. by way of Licenses and Change of Land Uses.

Land Procurement/Acquisition :-

Due Diligence and Title Search, Legal Scrutiny of revenue documents, preparation of Search Report, and preparation of payment slips as per schedule of lands owned by landowners, preparation of procurement related documents, registration of sale deeds and general power of attorneys and mutations

  • Litigation :-

Dealt matters pertaining to Consumer Protection Act, U/s 138 of Negotiable Instruments Act, Law of Contract and Specific Performance Act, Property Law, Land Acquisition, Recovery Suits, IPR Litigation, Injunction Suits, Insurance Law, Arbitration Act, Labour Law And IR matters and Administrative Law, Civil Law & Criminal Law including drafting of Writ petitions, Applications, Written Statements & Pleading, Appearing before Courts and Tribunals as Authorized Representatives, briefing matters to external attorneys and looking after routine legal functions.

  • Labour Matters & Industrial Relations:-

Active involvement in issues related to employment and labour laws and participation in resolution of the same. Participation in building rapport between workers and management of group companies. Active role in minimizing employee grievances and resolution of disputes between employees/workers and the management through adoption of different modes of dispute resolutions.

  • Corporate Legal Issues :-

To take care of all preventive measures to minimize litigation & to manage litigation in efficient manner, play effective roll in negotiations, extend full legal support in business decisions, development, expansions, merger, demerger, and acquisition. Ensure professional development of team members and utilize resources in very efficient manner.
