Legal & Compliance Lead

Role Overview: At Meenakshi Alternates (M-Alts), you will be part of a team that is building India's leading asset management company, focusing on various asset classes. Key Responsibilities: - **Legal Documentation:** - Lead the Investment term sheet, legal due diligence, documentation, and CP compliances for debt and equity transactions to negotiate the best terms for the fund. - Draft and review agreements with distributors, referral agents, and service providers. - Engage, negotiate, and onboard law firms or third-party service providers for transaction documents and other legal requirements. - Support and guide the Operations, Sales, and Investments team on various legal aspects. - Manage litigation or disputes related to portfolio companies, counterparties, or investors. - Maintain all documents appropriately on the central drive. - **Compliance:** - Ensure compliance with SEBI AIF regulations for the fund, IM & Sponsor entities. - Develop, implement, and monitor internal compliance frameworks, policies, and risk controls. - Liaise with SEBI team during audits and PPM filings. - Explain documentation and execution support to investors. - Train internal teams on compliance awareness and regulatory changes. - **Others:** - Proof check marketing materials of the fund with appropriate disclaimers and disclosures. - Manage investor/distributor documents throughout the fund's life. - **Stakeholder Engagement:** - Participate in IC meetings and provide legal advice. - Draft documents for investor communication and IC/Advisory board minutes of meetings. - Collaborate with internal teams for seamless investor servicing. - **Fund Documentation:** - Oversee the distribution of fund, offering documents, prospectuses, and other legal materials required for investor onboarding.
