Job Description

Role & responsibilities

Led contract negotiations with key stakeholders, suppliers, and customers

  • legal and regulatory compliance for commercial contracts
    • Collaborated with R&D, Quality, Regulatory Affairs, Procurement and Finance teams

Contract Drafting, Review & Negotiation

  • Draft, review, and negotiate a wide range of commercial agreements, including but not limited to:
    • Manufacturing Agreements
    • Supply and Distribution Agreements
    • Licensing Agreements (in-bound & out-bound)
    • Research & Development Collaboration Agreements
    • Confidentiality Agreements (CDAs / NDAs)
    • Rebate, Return & Pricing Agreements
    • Service Level Agreements (SLAs)
  • Drafting and Negotiation of Commercial Agreements
  • Risk Management & Regulatory Compliance if assigned
  • Supplier & Vendor Contracts Management
  • Licensing & Distribution Agreements
  • Confidentiality & Non-Disclosure Agreements (CDA/NDA)
  • Product Supply and Purchase Agreements
  • Service Level Agreements (SLA)
  • Rebate, Return & Pricing Agreements
  • Intellectual Property Licensing
  • Government & Regulatory Liaison
  • Cross-functional Stakeholder Management
  • Contract Dispute Resolution
  • Policy Development & Implementation
  • Master service agreements (MSAs )
  • Handled dispute resolution and arbitration matters

Risk Management & Compliance

  • Ensure that all contracts are compliant with applicable laws and regulations (FDA, EMA, Indian Drug Laws, etc.).
  • Assess and mitigate commercial and legal risks in contracts, especially related to regulatory approvals, intellectual property, liability clauses, and indemnities.
  • Collaborate with Regulatory, Quality, and Legal teams to ensure contract compliance.

Process Implementation & Policy Development

  • Develop and implement standardized contract templates and approval workflows to improve efficiency and compliance.
  • Establish best practices for contract management, execution, archiving, and periodic review.
  • Train internal teams (Sales, Operations, R&D, Regulatory Affairs) on key contractual obligations and compliance requirements.

Cross-Functional Collaboration

  • Work closely with R&D, Manufacturing, Supply Chain, Regulatory Affairs, and Commercial teams to support business strategies and project execution.
  • Act as a key advisor on contractual and commercial matters in new business development, joint ventures, and strategic partnerships.

Vendor & Partner Management

  • Manage key vendor and partner relationships through well-structured contracts.
  • Resolve contract disputes and support arbitration or legal proceedings as needed.

Reporting & Monitoring

  • Maintain a comprehensive contract register and report on contract status, obligations, and compliance metrics to senior management.
  • Monitor key milestones (e.g., renewal dates, deliverables, compliance checkpoints).

Key Skills & Competencies

  • Strong knowledge of veterinary pharmaceutical industry and related regulatory frameworks (e.g., US FDA, EMA, CDSCO India).
  • Expertise in drafting and negotiating complex commercial agreements.
  • Solid understanding of intellectual property rights, data protection, and liability management in pharma contracts.
  • Excellent analytical, drafting, and negotiation skills.
  • Strategic thinker with strong risk assessment capability.
  • Good leadership and stakeholder management skills.
  • Strong attention to detail, organized, and process-driven.

Educational Qualification

  • Degree in Law (LLB) or Post Graduate in Business Law / Pharmaceutical Law / Contract Management / MBA in Legal Management.
  • Relevant certifications (e.g., IACCM Certified Contract Manager) are desirable.

Experience

  • Minimum 812 years of experience in commercial contract management, preferably in the pharmaceutical or life sciences industry, with at least 35 years in a managerial leadership role.
  • Experience in veterinary pharma manufacturing, R&D, or distribution is highly desirable.

Reporting Structure

  • Reports to: Director/Head Legal Officer & CS / Head of Business Operations (Single/Multiple)

Education Qualifications:

  • LLB / Post Graduate Diploma in Business Law / MBA in Legal Management.
  • Certification in Contract Management
