ROLES:

Drafting and

Preliminary scrutiny

Analyzing title documents and legal descriptions of property, conducting research and resolving the Litigations and disputes with documenting processes, as well as maintaining records.

Handling all legal matters and legal practices to secure the best interests of the Group companies

Rendering advice for planning the strategies and procedures to be followed in various projects/cases

Managing litigations including Pre-litigation Analysis & Research, communications, notices and preparation, including attending conferences with and briefing Senior Advocates

Identifying legal risk associated in each contract and taking appropriate steps to mitigate the risks and also monitoring the Contract

Maintaining sustained contact with Legal Professionals and Government Officials for initiation and follow-ups on legal procedures and finalising of various legal documents

Drafting of Conveyance Deeds

1. To maintain and improve investors/client relations.

2. To provide legal support to the Management and to protect Companys intellectual assets.

3. To Proactively design legal & risk management protocols and processes for various areas of operations & ensure the standardization of the same by relevant stakeholders in line with laws, rules, regulations, prescribed practices, internal policies, procedures and ethical standards.

4. To ensure compliance with standard financial and legal practice and maintain highest standards of corporate governance.

5. Build processes and systems to internalize learnings from transactions, Scrutiny of documents in acquisition of properties, Due diligence and record verification Highlight to management - legal issues, rules and regulations and follow up of the same.

KEY RESULT AREAS:

(i)

(a) Providing guidance to subordinates in conducting research and formulating arguments.

(b) Providing direction in handling of cases involving Land Laws, tax laws, company laws, intellectual property etc.

(c) Personally intervening in complex issues and disputes.

(ii)

(a) Negotiation for Joint Ventures, Mergers & Acquisitions, De mergers

(b) Drafting proposals

(c) Due diligence

(d) Closure of deals

(e) Directing subordinates in various contractual deals

(iii)

(a) Providing legal opinions to top management, board, auditors etc. on various business issues

(b) Providing legal insights on all new projects

(c) Coordinating legal activities across the group

(d) Ensuring that statutory requirements impacting the Company is complied with.

(e) Providing direction to the external counsel-

(f) Leading all efforts to conduct research and formulate arguments

(g) Providing External Counsel with required research and arguments

(h) Ensuring that the practices and meets the norms of Corporate Governance.

(i) Maintaining statutory compliance for the company and its subsidiaries.

(j) Legal audit to authorise the actions

(k) Corporate governance principles to keep updated about new developments.

(l) Maintaining compliance with applicable statutory provisions and matching that with the companys commercial interest in a short time. Time being the essence of all transactions.

(m) Complete statutory compliance.

(n) Maintaining highest ethical standards for the company

SKILL SET:

(i) Knowledge of Land Laws, Corporate Laws, Regulations, Patent and Intellectual laws, etc.

(ii) Regular and continuous training for changes in law and statues. Communication, Leadership, Analytical and Interpretative skill.

(iii) Good Interpersonal skills.

(iv) Maintaining good relationship with regulatory bodies.

(v) Knowledge of Companys business and processes.

SPECIALISATION IN BRANCHES OF LAW:

Corporate Laws, Contract Act, Hindu Law, Constitutional law, Banking Laws, Environmental Laws, Negotiable Instruments Act, Transfer of Property Act, Recovery of Debts Due to Banks and Financial Institutions Act, Insurance Laws, Code of Civil Procedure, Company law, Revenue Laws, state laws and enactments, etc., etc., (including knowledge of various statutes).
